Because flash player's installer/updater is a POS. I have seen this on a few machines at work, the updater wants to constantly run, despite already being on the latest version.
I recommend the following. 1) Use a different browser than IE. Chrome and Firefox are great options. If you never use IE then you don't need flash player installed on it. It's one less thing to keep updated/one less vector to be attacked at. 2) If you do use IE (See #1) and need flash player for some reason, I would uninstall flash player and manually reinstall it. Vague questions receive vague answers . . . . . .

A novel approach may be to just open up the Flash Player control panel applet and I believe under the Advanced tab you will find the setting to Never check for updates. Only stumbling block there will be if a site is running content that only the latest version of Flash can render, but then all you have to do is update manually.

Considering how many security problems are found with Adobe Flash player on what seems to be a monthly update at the minimum this seems like a very risky move that I would not recommend to anyone who doesn't like cleaning up an infected system.

The other setting worth mention is Notify me to install updates so at least it lets the OP know but does not install or make the OP install. |

Well you should consider yourself lucky. Drive by malware is a favorite to use flash and java exploits. The easiest way to avoid it is just to stay updated. Notify works, but in most cases auto install works best for the average user. If you don't use IE then don't have flash player installed for it. One less thing to update and one less attack vector. |
