Hard drives, like some other components, are typically sold either packaged for Retail sale in a colorful shrink wrapped box and may include accessories or OEM (bare). OEM hard drives are usually the same as their retail counterparts, often with the same warranty, but in the case of a hard drive would come just a "bare" drive inside it's antistatic bag, shipped wrapped in bubble wrap and usually without brackets, cables, software, printed manuals or other items that would be packed in a retail box.

brackets are cheap (and un-needed for a hard drive)
so are cables, but you probably already have what you need
If there's no warranty difference, I usually end up buying OEM because it cost less and serves me just as well
