SWEEPSTAKES OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR TO WIN. SWEEPSTAKES IS OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA, MUST BE 18 YEARS OF AGE OR OLDER AT TIME OF ENTRY. VOID WHERE PROHIBITED.

1. SPONSOR: Colgate-Palmolive SmileTalk™ Total Advanced Whitening Sweepstakes ('Sweepstakes') is sponsored by the Colgate-Palmolive Company, 300 Park Avenue, New York, New York 10022 ('Sponsor').

2. SWEEPSTAKES PERIOD: The Sweepstakes period ("Sweepstakes Period") is from 12:01 AM Eastern Standard Time on February 18, 2009 through 12:01:00 AM Eastern Standard Time March 18, 2009.

3. How to Enter: To enter, fully complete and submit, as instructed, the survey and registration form which Sponsor provided to you via e-mail (the 'Entry'). You must complete at least one question related to the sample you receive of Colgate Total® Advanced Whitening in order to enter the sweepstakes. Entries that have been tampered with or altered are void. All Entries become the property of Sponsor and will not be acknowledged or returned and only Entries which comply with these Official Rules will be considered. Limit one (1) Entry per person/email address, except as provided by the 'Tell A Friend' entry option that allows for up to five (5) additional Entries for the duration of the Sweepstakes. You will have the option to enter the names and e-mail addresses of up to five (5) of your friends/relatives who are 18 years of age or older as of February 18, 2009, by clicking on the 'Tell A Friend' link from the survey. People that you refer will receive an email solely notifying them about the promotion. You may only refer persons with whom you have an existing relationship. You may not refer any person who has previously indicated to you that he or she does not wish to receive emails of this nature from you. For each of the five (5 ) friend/relative's names and e-mail addresses you provide, you will receive one (1) additional Entry automatically into the random drawing portion of this Sweepstakes (up to a maximum of five (5) additional entries). If more than six (6) Entries are received per person and email address, only the first six Entries will be deemed eligible. Entries with duplicate email or multiple Entries using different email addresses for a single individual will be disqualified. In the event of a dispute over the identity of an online Entrant, Entry will be deemed submitted by the authorized account holder of the email account of the email address submitted at time of Entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an internet access provider, on-line service provider or other organization that is responsible for assigning such email address. By entering the Sweepstakes, you consent to terms of the Sweepstakes Official Rules.

4. Eligibility: This Sweepstakes is open only to legal residents of the 50 United States or the District of Columbia, excluding Puerto Rico, age 18 or older at the time of entry. Employees, officers, directors, agents, representatives and their immediate families or members of household of Colgate-Palmolive, VML, E-centives and Start Sampling, their parent companies; subsidiaries; advertising; design; web design; web hosting; publicity agencies; law firms; fulfillment companies and anyone connected with the production and distribution of this Sweepstakes are not eligible to enter or be awarded a prize. An eligible entrant must enter via the online method as described. Incomplete entries are void.

5. Grand Prize: One (1) prize winner will receive $1,000.00 (USD) (awarded in the form of a gift card) (ARV: $1,000.00 per prize). Prize is non-transferable and no substitutions or exchanges will be allowed except at the sole discretion of the Sponsor. All taxes are the responsibility of the winner and are not reflected in the value of the prize awarded. An IRS Form 1099 will be filed on behalf of the winner for the retail value of the Prize. Odds of winning depend on the number of eligible entries received. Winners should follow prize redemption procedures stated in prize notification.

6. Selection of a Winner: The winner will be determined in a random drawing from all eligible Entries received during the Entry Period on or about March 19, 2009 conducted by representatives of Sponsor, whose decisions are final and binding in all matters relating to this Sweepstakes. Each winner will be notified by e-mail, phone, or both on or about March 22, 2009, and will be given instructions on how to claim the prize. The return of a prize notification as undeliverable may result in disqualification and an alternate winner may be selected. Sponsor and its agencies are not responsible for notifications that are misdirected because of addresses that are no longer correct, or for any reason beyond the control of Sponsor. Winner (or parent/legal guardian if potential Winner is deemed a minor in his/her state of residence) may waive their right to receive a prize. Winner is solely responsible for reporting and payment of all federal, state and local taxes on prizes. Winner (or parent/legal guardian if potential Winner is deemed a minor in his/her state of residence) will be required to execute and return within fourteen (14) days of notification an affidavit of eligibility, a liability release and a publicity release (collectively 'Release'), except where prohibited by law. Failure to sign and return the Release within fourteen (14) days, or to comply with any term or condition of these Official Rules or the prize notification letter will result in a winner's disqualification, the forfeiture of his or her interest in the prize, and the award of the prize to an alternate winner. Personally identifiable information received will be used to verify eligibility and award prize, in accordance with Sponsor's Privacy Policy. 7. Waiver: Winner (or parent/legal guardian if potential Winner is deemed a minor in his/her state of residence), by participation in this Sweepstakes and acceptance of a prize, agrees to release Colgate-Palmolive, VML, E-centives and each of their respective parent companies, divisions, affiliates, subsidiaries, distributors, suppliers and advertising, promotional or judging agencies, and their respective employees, officers, directors, agents and legal advisors from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the entrant's participation in the Sweepstakes or the Entrant's acceptance, receipt, ownership or use/misuse of the prize, including, without limitation, personal injuries, and claims based on publicity rights, defamation or invasion of privacy. Each Entrant (or parent/legal guardian if potential Winner is deemed a minor in his/her state of residence) agrees that Sponsor and each of its respective parent companies, divisions, affiliates, subsidiaries, distributors, suppliers and advertising, promotional or judging agencies, and their respective employees, officers, directors, agents and legal advisors shall not be liable or responsible for any printing or typographical errors in any materials associated with the Sweepstakes. Except where prohibited by law, participation in the Sweepstakes constitutes Entrant's consent to the publication of his or her name and image in any media for any commercial or promotional purpose, without limitation or further compensation.

8. General Terms: Incomplete entries shall be void. In the event of any dispute concerning the identity of any Entrant or any Entry submitted, Entry will be disqualified in the sole discretion of the Sponsor. By entering, Entrants acknowledge compliance with these Official Rules, including all eligibility requirements. No mechanically reproduced, software-generated or other automated multiple entries are permitted. All entries become the property of the Sponsor and will not be returned. Entry materials that have been tampered with or altered are void. The Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process, the operation of the Web Site or is otherwise in violation of the Official Rules. Any questions regarding the number of entries submitted shall be determined by E-centives in its sole, reasonable discretion, and E-centives has the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Sweepstakes. Sponsor is not responsible for injury or damage to Entrants' or to any other person's computer related to or resulting from participating in the Sweepstakes. In the event this Sweepstakes is compromised for any reason (including computer virus, tampering, bugs, computer malfunction, fraud, unauthorized intervention or other causes beyond the control of the Sponsor and Sweepstakes Administrators, which, in the sole opinion of Sponsor, corrupts or impairs the administration, security, fairness or proper play of the Sweepstakes) Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Sweepstakes. Sponsor is not responsible if the Sweepstakes cannot be implemented or prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. All federal, state, local and municipal laws and regulations apply.

9. Disputes: Each Entrant agrees to release, defend, indemnify and hold harmless E-centives, those working on its behalf, and each of their respective officers, directors, representatives, employees, agents, successors and assigns, from any damage, injury, death, loss or other liability, either at law or equity, whether known or unknown, asserted or non-asserted, that may arise from or in any way relate to any Entrant's participation in this Sweepstakes, Sponsor's use of the Entry or the awarding, acceptance, use or misuse of any Prize. Any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action. This Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, regardless of principles of conflicts of laws that may require the application of the laws of another jurisdiction. Any action or litigation concerning this Agreement shall take place exclusively in the federal or state courts sitting in New York, New York, and each Entrant expressly consents to the jurisdiction of and venue in such courts and waives all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. Each Entrant agrees to service of process by mail or other method acceptable under the laws of the State of New York. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS PROMOTION. ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY'S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.

10. Administration: All decisions of the Sponsor and Sweepstakes Administrator regarding the selection of winner and all other aspects of the Sweepstakes shall be final and binding in all respects. Sponsor will not be responsible for typographical or printing or other errors, administration of the Sweepstakes, the announcement of the prizes or other inadvertent errors in these Official Rules or in other materials relating to the Sweepstakes.

11. Winner' List: For the winner's name, available after March 31, 2009, or any other inquiries send a self-addressed, stamped envelope to: Winner, Colgate SmileTalk™ Total Advanced Whitening Sweepstakes, c/o 6901 Rockledge Drive, Suite 610, Bethesda, MD 20817 by April 30, 2009. VT residents may omit return postage.
