One benefit of this "upgrade" is that you get a fresh 1 year warranty. Now, whether $200 is enough to justify the improved processing and battery along with a new 1-year warranty is up to you.

and just for another $50 more you can get S9 Ultra with more ram and bigger storage.
I'd say the opposite for me. I upgraded in September with the bundle trade in deal from here so the upgrade for me was $3.79 to go from the S8U 256gb to the S9U 512gb and the battery life is better. With my S8U the moment it went to 15% the battery wouldn't last more than 5 minutes before it got to zero. My S9U doesn't have that issue and the battery life is consistent the whole way. While the upgrade isn't significant paying a few bucks for a higher storage, a newer model and a consistent battery drainage sold it for me.

I agree, but also the fact that this does not include the keyboard case like the S8 Ultra did when I purchased it is another factor for me as well.
Meh not worth the water resistant rating upgrade.
