“Slay with Lay Lay Sweepstakes” - Ages 6-12 - May 26, 2022

TIMING. The Sweepstakes begins at 6:00:01 p.m. (Eastern Time ["ET"]) on April 5, 2022 and ends at 11:59:59 p.m. ET on May 26, 2022.

ELIGIBILITY. To enter the Sweepstakes, you must have the permission of your parent or legal guardian ("Parent") prior to entering and be: (i) a legal resident of one (1) of the fifty (50) United States or the District of Columbia, and (ii) be between the ages of six (6) and twelve (12) years old at the time of entry (each a "Participant", collectively the "Participants"). All Participants must have the permission of his/her Parent and such entry shall be deemed submitted by the Parent and shall be treated as if the Parent had made such entry and if chosen as a winner, the Prizes (as defined below) will be awarded in the name of his/her Parent.

HOW TO ENTER. Each Participant must have his/her Parent's permission prior to entering the Sweepstakes. In order to enter, Participants can visit www.LayLaySlaySweepstakes.com online (the "Sweepstakes Site"). Once a Participant has reached the Sweepstakes point of entry, they must follow the instructions to complete and submit the online Sweepstakes entry form by providing their first name, email address and their Parent's email address.

LIMITATION ON ENTRIES. Limit one (1) entry per calendar day per person/household/email address during the Sweepstakes Period.

DRAWING AND NOTIFICATION. Administrator will conduct a random drawing on or around June 1, 2022 in order to select one (1) Grand Prize and ten (10) First Prizes (as each of the preceding capitalized terms are defined below) potential winners (each a "Potential Winner", collectively the "Potential Winners"). Each Potential Winner's Parent will be notified by email on or around June 8, 2022 and must respond to the notification within three (3) days or their child's entry shall be subject to disqualification and another Potential Winner will be selected from the remaining eligible entries received during the Sweepstakes Period, if time permits.

PRIZES (11) – There are eleven (11) prizes available to be awarded in the Sweepstakes as follows:

• Grand Prize (1): One (1) Winner will receive the Sweepstakes' grand prize (the "Grand Prize") which shall consist of a trip package for the Grand Prize Winner and up to three (3) guests (each a "Guest", collectively the "Guests") to one (1) of the Nickelodeon Hotels & Resorts destinations, at Grand Prize Winner's choice, located in either Riviera Maya, Quintana Roo, Mexico or Punta Cana, Dominican Republic. The approximate retail value ("ARV") of the Grand Prize is $5,200.00.
• First Prizes (10): Ten (10) Winners will each receive a Sweepstakes first prize (each a "First Prize", collectively the "First Prizes") consisting of a Lay Lay prize pack composed of one (1) of each of the following items: (i) a 12.75" That Girl Lay Freestylin' Fashion Lay Doll and accessories, and (ii) a custom sized That Girl Lay Lay jacket. The ARV of each First Prize is $100.00; the total ARV for all First Prizes is $1,000.00.
• The total ARV for all Prizes is $6,200.00.
