No S4 is definitely more popular than HTC One so wouldn't really affect S4. May be iphoners who are used to no battery and sd card will lean towards HTC One.

Not a bad deal with the trade in (if you have an old phone). Unfortunately I would rather pay off the phone (TMO) then have a 2 year contract with ATT.

To waive your activation fee, you'd probably have to call ATT since they will be the one that bills you for that.
