SiriusXM will not be responsible for any late, lost, misrouted, or non-delivered e-mails, or other computer- or communications-related failures, caused by events beyond the reasonable control of SiriusXM. By participating in this Offer, participant agrees to release and hold harmless SiriusXM and Google, and their respective subsidiaries, affiliates, suppliers, distributors, agencies, and each of their respective parent companies and each such company's officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action arising out of participation in the Offer or any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the Offer or redemption and use of the Google Nest Mini. Participants waive all rights to claim punitive, incidental and consequential damages, attorneys' fees or any damages other than actual out-of-pocket costs incurred to enter. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Offer Terms or the respective rights and obligations of the participants and SiriusXM in connection with the Offer shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of New York. Any legal proceedings arising out of this Offer or relating to these Offer Terms shall be instituted only in the federal or state courts located in New York County in the State of New York, waiving any right to trial by jury, and each participant consents to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to any of the foregoing. In the event of any conflict between these Offer Terms and any offer information provided elsewhere (including but not limited in advertising or marketing materials), these Offer Terms shall prevail.
