I would argue the only reason you would want to upgrade is if they no longer provide security updates. I mean for most people you can use a 10 year old version just fine.

Key SHOULD remain active, but there's always a number of cases where the key's bad from the start, the key gets issued more than once by these companies, or maybe even the key gets flagged by MS as improperly distributed and is no longer usable. So you really should try and activate within the support/return time frame of 30 days. Since there's often discounted (Gray market?) codes for these products around, so you're really not missing out a lot by waiting till you're ready to install.
