Where I personally would want the gen 2 is...
gen 1 is completely wireless. you can't connect them via a USB-C cable to a computer or phone for a wired connection. the USB-C is only for charging. gen 2 does allow a wired audio connection if you want. because it now has a wired connection, you can get the best audio quality including lossless audio. no more bluetooth codec or compression over bluetooth. I also didn't think the omission was bad until I encountered situations where I did want it.
The other features sound great (better sound, more features, better battery life) but I was already happy with the gen 1

I've been using my QC45s, and after about five years they're finally starting to wear down. I'm thinking about upgrading, but the price on these still makes me hesitate.
The only area where Bose & Sony win are noise canceling - otherwise the PX7 S2 are better in every way.

I own the PX7 S2 and Sony 1000XM4, which I recommend over the XM5s because the XM5S are held together by hope and marketing - the physical hinges break from normal/light use.
