It's sugar syrup flavored with cocoa powder. Cocoa powder in water is pretty bland and chocolate isn't going to be a syrup unless it's melted. Hershey's adds some additional ingredients to adjust the flavor (salt, vanillin), emulsification, and to prevent mold growth.

I have often wondered this myself, however the first time I purchased this I stored it in the pantry and Never had any issues. I have always kept the small version in the pantry as well, however these days I tend to refrigerate them if I have space... I think it's fine in the pantry, but others might think that's crazy.
