If you use a key that came with the computer to fresh install Win10 on THAT COMPUTER, legal. If you resell/eBay it, use the key on another computer, etc., it's not properly licensed, so not legal....

Actually not exactly true. My company builds PC's and OEM builders still get COA's to affix. We are also a TPP (3rd party refurbisher) and we still have to affix COA's to unit.

If you're asking about the free upgrade, no. Has to be Win 7 or 8. If you're asking if the hardware will run W10, probably. I've installed W10 on many pc's that came with xp.
