How much of a difference and is it worth it compared to the newer Ultra model? I still see $449 for the Ultra on Amazon. I wonder if they'll have a significant discount for the Ultra's during Prime days.

Ultras are worth the upgrade if you want a more solid build quality (aluminum over plastic), immersive Spatial Audio and slightly better ANC/aware modes. The standard QuietComfort is amazing for the bass. Both are top tier headphones. I'd recommend both.
Roughly the same. If you have the XM5, then no need to get these. If you don't have any noise cancelling headphones, either one will make you happy to not hear a crying baby on the plane when you are listening to either music or movies with it.
I find these more durable than my (broken xm5) with both subject to just me.
