40L is pushing carry-on size limits
One negative I see is it's pretty heavy pack at over 3lbs before you put anything in it.

If you took it as a carry on, that's usually dependent on the airline, how full the flight is and how much the flight attendants care. I have a Porter 46, and have never been forced to check it, but if it were full it would never pass the bag tester at the gate.
