THE TELLIN' IT LIKE IT IS CHALLENGE IS INTENDED FOR ENTRY IN THE 48 UNITED STATES (EXCLUDING MICHIGAN AND MASSACHUSETTS) AND THE DISTRICT OF COLUMBIA ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED IN AN INELIGIBLE STATE AT THE TIME OF ENTERING.
THE ENTRY PERIOD: The Tellin' It Like It Is Challenge ("Contest") has two (2) phases of submission. The first phase begins at 12:00 pm Eastern Time ("ET") on December 14, 2011 and ends at 11:59 am (ET) on February 21, 2012 ("First Phase Entry Period"). The second phase begins at 12:00 pm Eastern Time (ET) on February 27, 2012 and ends at 11:59 am (ET) on March 30, 2012 ("Second Phase Period"). You must submit your entry during the First Phase Entry Period in order to qualify for advancement to the Second Phase Period.

To compete in this Contest, you must be a registered user of mygrizzly.com. No purchase is necessary to register. If you are not a registered user, go to www.mygrizzly.com and follow the instructions to register. You must be an adult tobacco consumer at least 21 years old to register. Once registered, log on to www.mygrizzly.com ("Website") during the Entry Periods and follow all online entry instructions to participate in this Contest.

ELIGIBILITY: This Contest is open to legal residents of the 48 United States and the District of Columbia (excluding residents of Massachusetts and Michigan) who are tobacco consumers age 21 or older at time of entry. Employees, officers, and directors of American Snuff Company, LLC (the "Sponsor") and its subsidiaries, affiliates, advertising and promotion agencies, Web masters/suppliers (collectively the "Contest Entities") and their immediate families and persons living in the same households are not eligible to enter or win. This Contest is governed by U.S. law. Void in Massachusetts, Michigan, Puerto Rico, other U.S. territories and possessions, and where prohibited by law. Contest is subject to all applicable federal, state and local laws and regulations. By participating, contestants agree to abide by these Official Rules and the decisions of Sponsor, which are final and binding in all matters relating to this Contest.

CONTEST OBJECTIVE: The Contest invites eligible participants to submit his or her own "Tellin' It Like It Is" statements (hereinafter "Entry") in one or more of the following categories: 1) Vehicles; 2) Dip; 3) Food/Drink; 4) Grizzly; 5) Recreation/Hobbies; 6) Life/Work; 7) Outdoors; and 8) Other.

HOW TO ENTER: Follow the instructions provided to complete the registration process, and submit your Entry. All Entries must be received during the First Phase Entry Period. Entries must be written in English and consist of 55 characters (or less). All submitted Entries will be prescreened by the Sponsor within two (2) business days of submission prior to posting on the Website. Entries that do not comply with these Official Rules (including but not limited to the Entry Rules, as detailed below in these Official Rules) will be ineligible, and Sponsor reserves all other right to disqualify Entries as set forth herein. You may submit as many Entries as you wish during the First Phase Entry Period. Registered users of mygrizzly.com may designate the Entries they "like" during the First Phase Entry Period, but shall be limited to one designation per Entry per day. A "day" commences at 12:00 pm ET and ends at 11:59 am ET each calendar day of the entry periods. The "like" designations received during the First Phase Entry Period are strictly for entertainment purposes and will have no bearing on the selection of the top scoring thirty two (32) Entries by the Sponsor. Please see 'Judging' section below for more information on the selection of the thirty two (32) Entries for the Second Phase Period. For purposes of these Official Rules, "receipt" of an Entry occurs when Sponsor or its designated third party records the Entry information resulting from a contestant clicking the "Submit" button. Use of automated processes and devices to submit electronic entries are not permitted. Contest Entities are not responsible for any changes or effects caused to contestant's computer system as a result of submitting electronic entries. Only Entries submitted via the Website electronic form will be accepted. Entries submitted via facsimile or other express delivery services will NOT be accepted. All Entries become Sponsor's property and will not be returned or acknowledged. In the event of a dispute over the identity of an online contestant, or ownership of or rights to the Entry, the disputed Entry may or will be disqualified in the sole discretion of the Sponsor.

ENTRIES POSTED TO THE WEBSITE ARE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL CONTESTANT AND DO NOT REFLECT THE VIEWS OF THE SPONSOR IN ANY MANNER.

ENTRIES MUST COMPLY WITH THE FOLLOWING CONTENT ("ENTRY RULES") TO BE ELIGIBLE. THE SPONSOR SHALL DETERMINE WHETHER EACH ENTRY CONFORMS WITH THE ENTRY RULES IN ITS SOLE AND ABSOLUTE DISCRETION.

Entries must be the 100% original creation of the Contestant;
Entries must be unpublished and cannot have been submitted or used for any other commercial or public purpose;
Entries cannot be sexually explicit or suggestive, or derogatory of any ethnic, racial, gender, religious, professional or age group or the disabled, be profane or pornographic, or contain nudity; promote illegal drugs, firearms/weapons (or the use of any of the foregoing), or any particular political agenda or message;
Entries cannot defame, misrepresent or contain disparaging remarks about other people or companies; advertise or promote any brand or product of any kind (other than Grizzly®), or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
Entries cannot contain prominent copyrighted materials owned by others as determined by Sponsor;
Entries cannot contain materials embodying the names, likenesses, or other indicia identifying any person, living or dead without permission;
Entries cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and
Entries cannot depict and cannot itself be in violation of any law or otherwise identify a minor unless a parent or legal guardian is the contestant.
By entering, you, on behalf of yourself and any Third Party Participants, grant Contest Entities and any organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Contest, the perpetual, fully-paid, irrevocable, non-exclusive license to publish, reproduce, prepare derivative works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use and perform throughout the world the Entry in any manner, form, or format now or hereinafter created, including on the Internet, and for any purpose, including, but not limited to, advertising or promotion of Contest Entities, their products and trademarked brands, and Contest, all without further consent from or payment to you. By submitting your Entry, you agree that Sponsor has no obligation to post or publish your Entry, that all such postings or publication, if any, will be in Sponsor's sole discretion and that the posting or publication of an Entry does not guarantee the Entry will be selected as a Semi-Finalist, Finalist or winner. There is no prize awarded or compensation for the possible publication or posting of a contestant's name and/or Entry.

Contest Entities are not responsible for any unauthorized third party use of any Entry or part of an Entry. Entries will not be acknowledged and will not be received or held "in confidence" and a submission does not create a confidential relationship or obligation of secrecy between you and the Sponsor or any of its affiliates.

Each Entry may not have been previously published and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the Entry contains any material or elements that are not owned by the contestant and/or which are subject to the rights of third parties, the contestant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any contestant at any time. BY SUBMITTING AN ENTRY, CONTESTANT WARRANTS AND REPRESENTS THAT HE/SHE ACKNOWLEDGES AND CONSENTS TO (I) THE SUBMISSION AND USE OF THE ENTRY IN THE CONTEST AND TO ITS POSTING (INCLUDING CONTESTANT'S NAME) ON THE MYGRIZZLY.COM WEBSITE; AND (II) IN THE EVENT THAT THE ENTRY IS AMONG THE 32 ENTRIES SELECTED FOR THE SECOND PHASE PERIOD, THE USE OF THE ENTRY (INCLUDING CONTESTANT'S NAME) IN GRIZZLY ADVERTISING MATERIALS.

Sponsor reserves the right to disqualify any Entry for any reason, in its sole and absolute discretion. Sponsor is under no obligation to disclose why an Entry has been disqualified other than the Entry was ineligible under these Official Rules. Furthermore, the Sponsor reserves the right to not award any prize if, in its sole and absolute discretion, it does not receive a sufficient number of eligible and qualified Entries.

By submitting an Entry, contestant acknowledges and agrees that Sponsor may receive many Entries in this Contest and that such other Entries may be similar or identical in theme, idea, format or other respects to contestant's Entry and contestant waives any and all claims contestant may have had, may have, and/or may have in the future that any composition/entry and/or ideas accepted, reviewed and/or used by the Sponsor its affiliates, or their respective officers, directors, employees and agents may be similar to or the same as his/her Entry.

JUDGING:
First Phase: After the First Phase Entry Period, all eligible Entries will be judged by a panel of judges consisting of personnel from the Sponsor ("judging panel") to determine the overall thirty two (32) top scoring Entries who will advance to Second Phase. At the Sponsor's sole discretion these thirty two (32) Entries, including contestant's name, may be advertised in Grizzly print, Direct Mail, and/or advertising materials. In the event there are fewer than thirty two (32) qualified Entries, the Sponsor reserves the right to reduce the top scoring Entries to advance to Second Phase.

All judging will be based on the following judging criteria: (a) most creative interpretation (75%), (b) most suitable for Sponsor's image (15%), (c) most likely to inspire others (10%). The decisions of the judging panel are final and binding.

Ties: In the event of a tie in First Phase, the Entry from among the tied Entries with the highest score for most creative interpretation will advance to Second Phase. In the event of a further tie, the Entry from among the tied Entries with the highest score for most suitable for Sponsor's image will advance to Second Phase. In the event of further ties, the judging panel will make the final determination as to which Entry will advance to Second Phase.

Second Phase: During the Second Phase, the Sponsor will pair a contestant Entry with another contestant Entry in bracket-style matches. Registered Website users may vote for their favorite Entry per match. The Entry at the end of each match with the most votes, as determined by the Sponsor, will advance to the next round of the bracket. The top vote-receiving Entry of each match will then compete against another contestant Entry, as paired by the Sponsor. The Second Phase Entry advancing to the Final Round and receiving the most votes shall be declared the First Place winner. The other Entry in the final round will be declared the Second Place winner. The Entries receiving the third and fourth most votes (each of which will have advanced to the Semi Round Voting) will be declared the Third and Fourth Place winners, respectively.

Ties: In the event of a tie at the end of any bracket match, the Sponsor will determine which of the tied Entries will advance, if applicable, based on the same criteria as listed on First Phase above.

Voting: The viewing/voting of Second Phase will commence per the schedule outlined above, each referred herein as a "Voting Period". Registered Website users can vote each Entry once per day. Voting generated by script, macro or other automated means or with the intent to impair the integrity of the rating process, as determined by Sponsor in its sole discretion, will be void.

PRIZES/APPROXIMATE RETAIL VALUES ("ARV"): First Place Prize: An expense paid trip for winner and a companion to Memphis, Tennessee, where winner has the opportunity to work with Grizzly's marketing department for one (1) day (example: helping lay out their winning Entry in a Grizzly ad, etc.) and receive $15,000.00 cash prize. Actual value of trip depends on location of winner and airfares at time of booking. If actual value of trip is lower than the stated ARV, the difference will not be awarded. Trip includes: round-trip domestic coach air transportation from a major commercial airport nearest to winner's primary residence; ground transportation to/from the Memphis airport; and 2 nights hotel accommodation, and a $400.00 allowance for food. The Sponsor reserves the right to substitute air transportation for ground transportation (or travel reimbursement up to $220.00) if the winner resides within 200 miles of Memphis, Tennessee. All other expenses, not limited to taxes, gratuities, service charges or incidental expenses, not specified herein are not included and are the winner's responsibility. First Place prize winner must comply with any security procedure or measures and must make him/her available to attend/participate at any meeting/conference/event as determined by Sponsor. Total First Place ARV: $17,500. Second Place Prize: $5,000 cash (ARV: $5,000.00). Third Place Prize: $1,000 cash (ARV: $1,000.00). Fourth Place Prize: $1,000 cash (ARV: $1,000.00). There is no ARV associated with any advertising placement. All cash prizes awarded in U.S. Dollars and in the form of a check. Limit one prize per person. By accepting a prize and the consideration related thereto, First, Second, Third and Fourth Place prize winners hereby acknowledges that any and all materials created or produced by him/her relating to the Contest become property of the Sponsor who will be the sole and exclusive owner, in perpetuity and throughout the universe, of all right, title and interest in and to the Work, including without limitation all copyrights in and to the Work (and all renewals and extensions thereof now or hereafter provided by law) and all the rights therein and thereto, and may exploit the Work (and all rights therein) in any manner throughout the world without restriction.

First, Second, Third and Fourth Place prize winners will be notified by overnight mail, telephone and/or email on or about April 5, 2012. Each winner must be able to receive calls from an unlisted/blocked number. The contact information provided on entry will be used to notify winner. If notified via email, the potential winner must confirm receipt of Contest notification within forty-eight (48) hours after notification. Each winner will be required to complete and return an Affidavit of Eligibility and Liability and, unless prohibited by law, Publicity Release ("Affidavit/Release") as well as any other documents ("Prize Notification Documents") which may be required by Sponsor, all of which must be received fully-executed within seven (7) days of date printed on notification or he/she may be disqualified. Prepaid overnight mailing envelope may be provided. The Sponsor reserves the right to investigate winner to determine if s/he has been truthful, and to disqualify him or her if the Official Rules requirements were not met. A background check may be conducted on each winner. In the event it is determined that a winner (or one of the top scoring thirty two (32) First Phase contestants) has not complied with these Official Rules, or has failed to execute and return any required documents (if applicable) within the specified time period, and/or has made false statements or if prize notification is returned as undeliverable, or cannot accept or receive prize for any reason, then such winner/contestant will be disqualified and the contestant with the next highest score will be notified. Prizes are not redeemable for cash. Prizes are non-assignable or transferable. No substitutions are permitted except Sponsor reserves the right to substitute any prize (or prize portion) with one of equal or greater value in case of unavailability. Each winner will be responsible for all federal, state, local, and income taxes associated with winning his/her prize. Each winner will be required as a condition of receiving the prize to provide the Sponsor or its agent with the winner's social security number so that appropriate IRS Form 1099 reports can be filed in the winner's name for the value of the prize awarded as required by law. Any other incidental expenses not specified herein are the winner's sole responsibility. Prize will be awarded within thirty (30) days after verification and confirmation of each winner.

GENERAL CONDITIONS: By participating in the Contest, you (i) agree to be bound by these Official Rules, including all eligibility requirements; (ii) agree to be bound by the decisions of Sponsor and the judges, which are final and binding in all matters relating to the Contest; and (iii) indemnify, release, and hold harmless the Sponsor and its affiliated companies, the independent judging organization and all other businesses involved in this Contest, as well as the employees, officers, directors and agents of each (collectively the "Released Parties"), from all claims and liability relating to their acceptance, use and/or misuse of a prize, and participation in the Contest. Released Parties are not responsible if Contest cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Sponsor is not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (ii) any injury or damage to contestant's or any other person's computer related to or resulting from participating in the Contest. The Sponsor reserves the right to permanently disqualify from any Contest and/or promotion it sponsors any person it believes has intentionally violated these Official Rules; and cancel the Contest if it becomes technically corrupted, (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Contest), and to select winner(s) from among all eligible entries received prior to cancellation. In the event of a dispute over the identity of an online contestant, entry will be deemed submitted by the holder of the e-mail account. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. Box 834049, Richardson, TX 75083-4049. Please allow a few days for Sponsor to process your request. By opting-out, residual information may nonetheless remain in our database and other records, which may not be permanently deleted.
