PROMOTION PERIOD: The Promotion begins on August 6, 2012, at 10:00 A.M. Eastern Time ("ET") and ends on September 4, 2012, at 11:59:59 P.M. ET ("Promotion Period"). The Sponsor's computer is the official clock for this Promotion.
ELIGIBILITY: This Promotion is open only to legal residents of the fifty (50) U.S. States and the District of Columbia who are at least 18 years old at the time of entry. Employees of Sponsor, Ignite Social Media, PrizeLogic, and any of their respective parent companies, subsidiaries and affiliates, distributors, dealerships, and companies involved in the implementation and execution of the Promotion (collectively, "Promotion Entities") and their immediate family members (i.e., spouse, parent, child, sibling, and the "steps" of each) and persons living in the same household of each are not eligible to participate in the Promotion. Void where prohibited or restricted by law.
HOW TO ENTER THE PROMOTION:
During the Promotion Period, entrants must go to fiatbackstage.com ("Website") and click on the on-screen picture to read the designated Promotion blog post ("Blog Post"). On the Blog Post, there will be a hyperlinked keyword ("Keyword(s)") that will direct entrants to another post. There will be a series of Keywords posted on multiple blogs that when placed together and unscrambled will uncover a secret phrase ("Secret Phrase"). After an entrant has clicked the last Keyword completing a Secret Phrase, he or she will be directed to the landing page, where he or she must click on the "Enter the Secret Phrase" button to register for the Promotion. Then the entrant must follow the on-screen instructions to register and provide the correct Secret Phrase to receive one (1) entry into the Promotion.
During the Promotion Period, eight (8) unique Secret Phrases will be periodically posted on the Website, and an entrant may come back to the original Blog Post to find a new Keyword. Once a new Secret Phrase is posted on the Website, an entrant must follow the instructions set forth above to register and/or enter the Promotion. If an entrant has already registered for the Promotion, the entrant must provide his or her e-mail address used to register and the new correct Secret Phrase to receive one (1) entry into the Promotion.
ENTRY LIMITS: During the Promotion Period, an entrant is limited to receiving a maximum of one (1) entry for each correct Secret Phrase posted on the Website for a maximum of eight (8) total entries into the Promotion. Any attempted form of participation in this Promotion other than as described herein is void. If it is discovered that an entrant has registered or attempted to register using multiple e-mail addresses or multiple identities, all of that entrant's entries will be declared null and void, and any prize that entrant might have been entitled to will not be awarded. Also, if it is discovered that any entrant attempts to cast additional entries in excess of the stated entry limit, that entrant may, in Sponsor's sole discretion, be disqualified from the Promotion.
RANDOM DRAWING: On or about September 6, 2012, PrizeLogic will select one (1) potential grand prize winner ("Grand Prize Winner") from all eligible entries received during the Promotion Period. The Grand Prize Winner will be deemed a potential winner pending confirmation and/or verification of his or her eligibility and compliance with these Official Rules.
GRAND PRIZE, ODDS OF WINNING AND APPROXIMATE RETAIL VALUE ("ARV"):
Grand Prize (1): The Grand Prize Winner will receive a trip for two (2) people – the Grand Prize Winner and one (1) guest ("Guest" or "Travel Companion") – for five (5) days/four (4) nights to the location where the FIAT "Immigrants" commercial was filmed on the Amalfi Coast in Italy ("Trip"). The Trip includes: round-trip economy class airfare for the Grand Prize Winner and Guest from the nearest major gateway airport (selected by Sponsor in Sponsor's sole discretion) to Grand Prize Winner's residence to Naples, Italy; four (4) nights' hotel accommodations (one [1] room, double occupancy) at a four-star hotel on the Amalfi Coast in Italy selected by Sponsor in Sponsor's sole discretion; one (1) $1,000 VISA® gift card ("Gift Card") to be used for travel-related expenses; a guide to experience some of the best roads in Italy; and a FIAT 500 rental car ("Grand Prize").
Odds of Winning: The odds of winning the Grand Prize depend on the total number of eligible entries received during the Promotion Period.
ARV: The ARV of the Grand Prize is $6,318.
GRAND PRIZE LIMITATIONS: All Grand Prize-related travel arrangements will be administered by Sponsor's authorized designee. All travel must be booked within three (3) months from the date the Grand Prize Winner accepts the Grand Prize, and travel must be taken within six (6) months from the date travel is booked. Grand Prize travel is subject to capacity controls, blackout dates, availability, weather, seasonal influences and certain other restrictions, all of which are subject to change. The Grand Prize Winner and Guest will be required to travel on identical itineraries, including the same departure date and return date. The Grand Prize Winner and Guest are solely responsible for obtaining any necessary travel documents (i.e., valid government-issued passport). If the Grand Prize Winner elects to travel or partake in the Grand Prize without a Guest, no additional compensation will be awarded to the Grand Prize Winner. If the Grand Prize Winner is not eligible to rent a car, the rental car portion of the Grand Prize will be awarded in the form of a check in the amount of $460 made payable to the Grand Prize Winner. Air transportation and hotel accommodations must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor's sole discretion. Sponsor will not pay for or obtain any travel insurance. All airline tickets issued in conjunction with a Grand Prize may not be eligible for upgrades, frequent flyer miles or any other promotional benefit. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates, or similar items once they are in the Grand Prize Winner's possession or in the possession of the Guest. Travel must be round trip. Sponsor will determine flight itinerary in its sole discretion. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by Sponsor's air travel prize supplier, as detailed in the passenger ticket contract issued by such supplier.
The Grand Prize Winner will be solely responsible for any and all federal, state and local taxes imposed on the acceptance of the Grand Prize.
The Gift Card is subject to the terms and conditions set forth on the Gift Card. The Gift Card may not be redeemed or exchanged for cash, except where required by law. The Gift Card will not be replaced or replenished if it is lost, stolen, damaged, destroyed or used without the Grand Prize Winner's permission and will be voided if altered or defaced. No more than one (1) Grand Prize will be awarded.
HOW TO CLAIM THE GRAND PRIZE: On or about September 7, 2012, the potential Grand Prize Winner will be notified by PrizeLogic via the Grand Prize Winner's e-mail address provided when he or she entered the Promotion. The potential Grand Prize Winner must respond within three (3) calendar days of the date of such notification. In the event that any e-mail is returned as undeliverable or if no response to this notification is received within such time, the Grand Prize may be forfeited and an alternate winner may be selected. The Grand Prize Winner will be required to sign and return a notarized Affidavit of Eligibility, Liability and Publicity Release ("Affidavit"). The Guest must also sign and return a Liability and Publicity Release, satisfactory to Sponsor, within seven (7) calendar days from the date it is sent to the Grand Prize Winner or she or he will not be allowed to accompany the Grand Prize Winner. The Affidavit must be received by PrizeLogic within seven (7) calendar days from the date the Affidavit was sent to the Grand Prize Winner. If the Grand Prize Winner fails to sign and return the Affidavit within the required time period or is not in compliance with these Official Rules, the Grand Prize Winner may, in Sponsor's sole discretion, forfeit the Grand Prize. If a Grand Prize is forfeited for any reason, an alternate Grand Prize Winner may, in Sponsor's sole discretion, be selected in a random drawing from among all eligible entries received during the Promotion Period. Only three alternate drawings will be held, after which the Grand Prize may remain un-awarded in Sponsor's sole and absolute discretion.
TAXES AND OTHER EXPENSES: THE GRAND PRIZE WINNER WILL BE ISSUED A FORM 1099 FOR TAX PURPOSES IN THE AMOUNT OF THE ACTUAL RETAIL VALUE OF THE GRAND PRIZE AND MUST SUBMIT HIS OR HER SOCIAL SECURITY NUMBER, AS REQUIRED BY LAW. ALL FEDERAL, STATE AND LOCAL TAXES IMPOSED ON THE ACCEPTANCE OF THE GRAND PRIZE ARE SOLELY THE RESPONSIBILITY OF THE GRAND PRIZE WINNER.
LIMITATION OF LIABILITY: By participating in this Promotion, entrants agree that the Promotion Entities and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives, designees and agents ("Released Parties") are not responsible for illegible, lost, late, incomplete, stolen, misdirected, postage due, or undeliverable e-mail or postal mail, or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections or availability; or garbled, corrupt or jumbled transmissions, service provider/Internet/Website/use net accessibility, availability, or traffic congestion; or any technical, mechanical, printing, or typographical or other error; or unauthorized human intervention; or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by any Website users, tampering, hacking, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction, or unauthorized access to the Website or any Promotion-related website(s). The Released Parties are not responsible for any injury or damage, whether personal or property, to participants or to any person's computer related to or resulting from participating in the Promotion and/or accepting Grand Prize.
If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Promotion, the entrant's sole remedy is to submit another entry. All such entries may, in Sponsor's sole discretion, be disqualified.
By entering the Promotion, each entrant agrees: (i) to be bound by these Official Rules and by all applicable laws and decisions of Sponsor and the Promotion administrator's, which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of his or her rights to bring any claim, action or proceeding against any of the Released Parties in connection with the Promotion; and (iv) to forever and irrevocably agree to release, defend, indemnify and hold harmless each of the Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable outside attorneys' fees) that may arise in connection with: (a) the Promotion, including but not limited to any Promotion-related activity or element thereof, and the entrant's entry/entries, participation or inability to participate in the Promotion; (b) the violation of any third-party privacy, personal, publicity or proprietary rights; (c) typographical or printing errors in these Official Rules or any Promotion materials; (d) acceptance, attendance at, receipt, travel related to, participation in, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of a Grand Prize (or any component thereof); (e) any change in the prizing (or any components thereof) due to unavailability, or due to reasons beyond Sponsor's control, including but not limited to by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other cause beyond any of the Sponsor's, the Promotion administrator's, and the Released Parties' control, or as otherwise permitted in these Official Rules; (f) any interruptions in or postponement, cancellation, or modification of the Promotion; (g) human error; (h) incorrect or inaccurate transcription, receipt or transmission of any part of any entry (including, without limitation, the information or any parts thereof); (i) any technical malfunctions or unavailability of the Website or any telephone network, computer system, computer online system, computer timing and/or dating mechanism, computer equipment, software, or Internet service provider, or mail service utilized by any of the Released Parties or by an entrant; (j) interruption or inability to access the Promotion, the Website or any other Promotion-related websites, or any online service via the Internet due to hardware or software compatibility problems; (k) any damage to entrant's (or any third party's) computer and/or its contents related to or resulting from any part of the Promotion; (l) any lost/delayed data transmissions, omissions, interruptions, defects, and/or any other errors or malfunctions; (m) any late, lost, stolen, mutilated, misdirected, illegible, delayed, garbled, corrupted, destroyed, incomplete, undeliverable or damaged entries; (n) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties; (o) lost, late, stolen, misdirected, damaged or destroyed prizing (or any element thereof); or (p) negligence or willful misconduct by entrant.

DISPUTES: THE PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF MICHIGAN, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN OAKLAND COUNTY, MI. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN MICHIGAN. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS SECTION WILL BE CONDUCTED IN OAKLAND COUNTY, MI. PRIVACY POLICY: Any personally identifiable information collected during an entrant's participation in the Promotion will be collected by Sponsor or designee and used by Sponsor, its affiliates, designees, agents and marketers for purposes of the proper administration and fulfillment of the Promotion as described in these Official Rules and in accordance with Sponsor's Privacy Policy as stated at http://www.fiatusa.com/universal/privacy.html and any opt-ins an entrant may have agreed to during the registration process.
PUBLICITY RIGHTS: By participating in the Promotion and/or accepting the Grand Prize, each entrant agrees to allow Sponsor and/or Sponsor's designee the perpetual right to use his or her name, biographical information, photos and/or likeness, and statements for Promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, including live television, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

RANDOM DRAWING: On or about September 6, 2012, PrizeLogic will select one (1) potential grand prize winner ("Grand Prize Winner") from all eligible entries received during the Promotion Period. The Grand Prize Winner will be deemed a potential winner pending confirmation and/or verification of his or her eligibility and compliance with these Official Rules.
GRAND PRIZE, ODDS OF WINNING AND APPROXIMATE RETAIL VALUE ("ARV"):

Odds of Winning: The odds of winning the Grand Prize depend on the total number of eligible entries received during the Promotion Period.
ARV: The ARV of the Grand Prize is $6,318.
GRAND PRIZE LIMITATIONS: All Grand Prize-related travel arrangements will be administered by Sponsor's authorized designee. All travel must be booked within three (3) months from the date the Grand Prize Winner accepts the Grand Prize, and travel must be taken within six (6) months from the date travel is booked. Grand Prize travel is subject to capacity controls, blackout dates, availability, weather, seasonal influences and certain other restrictions, all of which are subject to change. The Grand Prize Winner and Guest will be required to travel on identical itineraries, including the same departure date and return date. The Grand Prize Winner and Guest are solely responsible for obtaining any necessary travel documents (i.e., valid government-issued passport). If the Grand Prize Winner elects to travel or partake in the Grand Prize without a Guest, no additional compensation will be awarded to the Grand Prize Winner. If the Grand Prize Winner is not eligible to rent a car, the rental car portion of the Grand Prize will be awarded in the form of a check in the amount of $460 made payable to the Grand Prize Winner. Air transportation and hotel accommodations must be taken together and cannot be taken separately. No changes will be made to travel details once any element(s) of the travel arrangements have been booked, except at Sponsor's sole discretion. Sponsor will not pay for or obtain any travel insurance. All airline tickets issued in conjunction with a Grand Prize may not be eligible for upgrades, frequent flyer miles or any other promotional benefit. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates, or similar items once they are in the Grand Prize Winner's possession or in the possession of the Guest. Travel must be round trip. Sponsor will determine flight itinerary in its sole discretion. Once hotel and flight arrangements have been confirmed, no changes will be allowed except by Sponsor in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by Sponsor's air travel prize supplier, as detailed in the passenger ticket contract issued by such supplier.
The Grand Prize Winner will be solely responsible for any and all federal, state and local taxes imposed on the acceptance of the Grand Prize.
The Gift Card is subject to the terms and conditions set forth on the Gift Card. The Gift Card may not be redeemed or exchanged for cash, except where required by law. The Gift Card will not be replaced or replenished if it is lost, stolen, damaged, destroyed or used without the Grand Prize Winner's permission and will be voided if altered or defaced. HOW TO CLAIM THE GRAND PRIZE: On or about September 7, 2012, the potential Grand Prize Winner will be notified by PrizeLogic via the Grand Prize Winner's e-mail address provided when he or she entered the Promotion. The potential Grand Prize Winner must respond within three (3) calendar days of the date of such notification. In the event that any e-mail is returned as undeliverable or if no response to this notification is received within such time, the Grand Prize may be forfeited and an alternate winner may be selected. The Grand Prize Winner will be required to sign and return a notarized Affidavit of Eligibility, Liability and Publicity Release ("Affidavit"). The Guest must also sign and return a Liability and Publicity Release, satisfactory to Sponsor, within seven (7) calendar days from the date it is sent to the Grand Prize Winner or she or he will not be allowed to accompany the Grand Prize Winner. The Affidavit must be received by PrizeLogic within seven (7) calendar days from the date the Affidavit was sent to the Grand Prize Winner. If the Grand Prize Winner fails to sign and return the Affidavit within the required time period or is not in compliance with these Official Rules, the Grand Prize Winner may, in Sponsor's sole discretion, forfeit the Grand Prize. If a Grand Prize is forfeited for any reason, an alternate Grand Prize Winner may, in Sponsor's sole discretion, be selected in a random drawing from among all eligible entries received during the Promotion Period. Only three alternate drawings will be held, after which the Grand Prize may remain un-awarded in Sponsor's sole and absolute discretion.
TAXES AND OTHER EXPENSES: THE GRAND PRIZE WINNER WILL BE ISSUED A FORM 1099 FOR TAX PURPOSES IN THE AMOUNT OF THE ACTUAL RETAIL VALUE OF THE GRAND PRIZE AND MUST SUBMIT HIS OR HER SOCIAL SECURITY NUMBER, AS REQUIRED BY LAW. ALL FEDERAL, STATE AND LOCAL TAXES IMPOSED ON THE ACCEPTANCE OF THE GRAND PRIZE ARE SOLELY THE RESPONSIBILITY OF THE GRAND PRIZE WINNER.
LIMITATION OF LIABILITY: By participating in this Promotion, entrants agree that the Promotion Entities and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives, designees and agents ("Released Parties") are not responsible for illegible, lost, late, incomplete, stolen, misdirected, postage due, or undeliverable e-mail or postal mail, or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections or availability; or garbled, corrupt or jumbled transmissions, service provider/Internet/Website/use net accessibility, availability, or traffic congestion; or any technical, mechanical, printing, or typographical or other error; or unauthorized human intervention; or the incorrect or inaccurate capture of registration information, or the failure to capture, or loss of, any such information. If, for any reason, an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an entry into the Promotion, the entrant's sole remedy is to submit another entry. PRIVACY POLICY: Any personally identifiable information collected during an entrant's participation in the Promotion will be collected by Sponsor or designee and used by Sponsor, its affiliates, designees, agents and marketers for purposes of the proper administration and fulfillment of the Promotion as described in these Official Rules and in accordance with Sponsor's Privacy Policy as stated at http://www.fiatusa.com/universal/privacy.html and any opt-ins an entrant may have agreed to during the registration process.
PUBLICITY RIGHTS: By participating in the Promotion and/or accepting the Grand Prize, each entrant agrees to allow Sponsor and/or Sponsor's designee the perpetual right to use his or her name, biographical information, photos and/or likeness, and statements for Promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, including live television, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.
