Chiquita's Make Your Way to Rio Sweepstakes ~ 13+ ~ 5/31/11

Eligibility: Chiquita's Make Your Way to Rio Sweepstakes (the "Sweepstakes") is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least thirteen (13) years old at the time of entry.

Timing: The Sweepstakes begins on March 8, 2011 at 12:00 a.m. Eastern Time ("ET") and ends on May 31, 2011 at 11:59 p.m. ET (the "Promotion Period"). Sponsor's computer is the official time-keeping device for the Sweepstakes.

How to Enter: NO PURCHASE NECESSARY. During the Promotion Period, visit www.chiquita.com/rio and follow the links and instructions to complete and submit the registration form including a valid home address. P.O. Boxes are not permitted. Interact with the site and share site content to unlock different badges throughout the site. For each badge you unlock, you will gain one (1) entry into the Sweepstakes. The badges you unlock will also go towards the Rio community's combined badges earned ("Badges Earned") total. As the Badges Earned total increases, each prize tier (each a "Prize Tier") will be unlocked, and each entrant registered at the time of the applicable Prize Tier unlock will be eligible for inclusion into the prize drawings in the applicable Prize Tier with the number of Sweepstakes entries he/she gained up until the point of the applicable Prize Tier unlock. Only those entrants who have registered and earned badges towards the Badges Earned total prior to a Prize Tier being unlocked will be included in that corresponding Prize Tier's prize drawings.

Sponsor in its sole discretion will determine the Badges Earned number required to unlock each Prize Tier. Sponsor may elect to unlock any Prize Tier at any point in the Sweepstakes regardless of the Badges Earned total. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more badges or site registrations by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

• six (6) nights' accommodations at Sofitel Rio de Janeiro Copacabana (single room, quad occupancy) OR Sponsor's choice of hotel in/around location of winner's choice in the continental U.S.;
• and $500 spending money.

Winner must complete the trip within one (1) year from the drawing date or prize will be forfeited. Trip must be booked at least twenty-one (21) days prior to departure. Trip subject to availability and blackout dates. Travel must be round-trip. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Sponsor's airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. The ARV per Travel Certificate is $2,250 for a total $9,000 per prize for air travel. Sofitel Rio de Janeiro Hotel ARV is $352 for one (1) night hotel stay. ARV of complete Grand Prize: $11,112. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.
AMERICAN AIRLINES TRAVEL AUTHORIZATION CERTIFICATE TERMS: Each Travel Certificate may be used for air travel wholly on American Airlines or its Airline Associates. Travel Certificates are redeemable for air travel sold and originating in the forty-eight (48) contiguous United States. Travel Certificates are not returnable or redeemable for cash, except where required by law. Lost, stolen or damaged Travel Certificates will not be replaced. Travel Certificates have no implied warranties and are not credit or debit cards. Travel Certificate redemption is based on availability at the time of reservation, and must adhere to applicable embargoed dates. Each Travel Certificate is valid for one (1) year from the date issued. Expiration date cannot be extended. Travel using Travel Certificates does not qualify for American Airlines AAdvantage® mileage credit or elite status. AMERICAN AIRLINES TRAVEL TERMS. Travel for the Grand Prize winner and his or her travel companion(s) must take place within one (1) year from the date the Travel Certificates are issued. If the Grand Prize winner is unable to travel by this date, the Grand Prize will be forfeited. Travel must originate and end at the airport nearest the Grand Prize winner's home that is served by American Airlines or their Airline Associates. Travel is subject to availability and certain other restrictions, which are subject to change in the sole discretion of American Airlines. Winner's guests must be 18 years of age or older if not a member of winner's immediate family and will be required to execute and return a liability/publicity release (which must also be signed by such guest's parent or legal guardian, if minor) prior to travel. The Grand Prize winner and his or her travel companion(s) must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip. For electronic Prizes: The ARV of electronic prizes is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed.
For all Prizes: Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor's sole discretion. Sponsor reserves the right to substitute a prize or a component thereof for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the Promotion Period at the time of the applicable Prize Tier unlock.
Limit: One (1) prize per person per Prize Tier. Total ARV of all prizes: $30,424.90.

Drawings: Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. Administrator will randomly select the potential Sweepstakes winners from all eligible entries received during the Promotion Period at the time of the applicable Prize Tier unlock, on or about two (2) weeks after the Prize Tier unlock date, with the final drawing to occur no later than on or around June 8, 2011. Some Prize Tiers will also include a Special Offer awarded to all registered entrants at the time of the applicable Prize Tier unlock. The potential winners will be notified by email, mail, or phone. Each potential Tier 4 Grand and First Prize winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to complete, sign, notarize and return an Affidavit of Eligibility and Liability / Publicity Release within five (5) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner cannot be contacted, fails to submit the Affidavit of Eligibility and Liability / Publicity Release within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Unclaimed prizes valued at or under $25 will not be awarded. All non-travel Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Sweepstakes.
