Prize: (5 winners) Trip for two to one of the five following destinations: (1) New York, New York; (2) Los Angeles, California; (3) Chicago, Illinois; (4) Houston, Texas or (5) Miami, Florida. Each Trip will include: roundtrip coach class commercial air transportation for Winner and Guest from a major U.S. airport near Winner's residence (subject to Sponsors' sole discretion) departing December 30, 2011 and returning January 1, 2012; hotel accommodations for Winner and Guest based on double occupancy for 2-nights/3-days at a hotel in or near Destination; ground transportation for Winner and Guest to and from the hotel; and a check for $1,000 made payable to Winner (or in another form subject to Sponsors' sole discretion). Travel date may change at the sole discretion of the Sponsors. If potential Winner cannot travel on dates provided by Sponsors, Prize will be automatically forfeited and an alternate potential Winner may be selected at the sole discretion of the Sponsors. The exact location of the Prize is at the sole discretion of the Sponsors. (ARV $4,000). Retail value may vary depending upon point of departure, fare fluctuation and hotel.

All details of Prizes will be determined by Sponsors in their sole discretion. No substitution of prize or cash equivalent except at Sponsors' sole discretion. Cash equivalent may be less than the approximate retail value of the prize. Prize is non-transferable except at the sole discretion of the Sponsors. Sponsors reserve the right to substitute a similar Prize (or Prize element) of comparable or greater value. All federal, state and local taxes on the Prize are Winner's sole responsibility. By accepting Prize, Winner waives the right to assert as a cost of Prize, any and all costs of redemption or travel to redeem Prize and any and all liability that might arise from redeeming or seeking Prize. Prize winner's Guest must be twenty one (21) years of age or older. It is Winner's sole responsibility to arrange transportation to and from Winner's residence and the major airport nearest Winner's residence. Travel arrangements must be made through Sponsors' agent, on a carrier of Sponsors' choice. Sponsors will determine travel, including exact travel dates for the trip and Hotel arrangements in their sole discretion. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsors in their sole discretion. Prizes consist only of the elements set forth above. Winner and Guest must travel together on the same itinerary, including the same departure date and return date, and must have valid travel documents (e.g., valid government issued photo ID and/or passport) prior to departure. Failure to secure the necessary travel documents will result in forfeiture of Prize and if time permits, Sponsors, in their sole discretion, may select an an alternate Winner at random from the remaining eligible Entries. No other travel elements (including, without limitation, ground transportation, insurance, gasoline, meals (except as listed above), gratuities, and souvenirs) are included in Prizes. If Winner's residence is within two hundred and fifty (250) miles of Destination, Sponsors may, in their sole discretion, substitute train or ground transportation for airfare and that shall constitute full satisfaction of Sponsors' Prize obligation to Winner and no additional compensation will be awarded. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsors in their sole discretion. Tickets are non-refundable. Reservations are subject to availability and select blackout dates. Tickets are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsors in their sole discretion. Tickets will be issued only to Winner and Guest. Tickets are void if sold for cash or other consideration. Winner is responsible for any tax liability (including applicable departure taxes or fees, including baggage fees), inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Winners and Guests. Sponsors will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Prizes must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsors reserve the right to reschedule all travel for a later date. If Winner chooses to take Trip without Guest, the remaining elements of Prize shall be awarded and shall constitute full satisfaction of Sponsors' Prize obligation to Winner and no additional compensation will be awarded.

Sponsors shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsors' control, and are not responsible or liable for any expenses incurred as a consequence thereof. Date and/or time of Event are subject to change. Event is subject to cancellation. Location of seating (if any) is subject to availability and will be determined by Sponsors subject to their sole discretion. Tickets are subject to certain terms and conditions as specified thereon. Attendees agree to comply with all applicable venue regulations in connection with Prize. If Event is cancelled for any reason, the remaining elements of the Prize shall be awarded and shall constitute full satisfaction of the Sponsors' Prize obligation to Winner and no additional compensation will be awarded.

Sponsors reserve the right to conduct a background check of any criminal records of the Winners and Guests. To the extent necessary and permitted by law, Winners and Guests shall authorize this background check. Sponsors reserve the right, at its sole discretion, to disqualify Winners and/or Guests from any prize element, based on the background check. Except where prohibited, acceptance of Prize constitutes Winner's consent to use of his/her name, likeness and biographical data for advertising and promotional purposes without additional compensation. Winner also accepts sole responsibility for any miscellaneous costs relating to acceptance of Prize.

The value of the Prize won by a participant under the Sweepstakes may be taxable as income to Winner. Sponsors will furnish an Internal Revenue Service Form 1099 to Winner for the total ARV of Prize for the tax year in which Prize was won. Any difference between the ERV and the ARV will not be awarded. Winner is solely responsible for any and all taxes and/or fees associated with Prize. Upon receipt of a Prize, Winner shall be required to comply with any and all applicable federal, state and local law, rules and regulations.
