ELIGIBILITY: Visa Prepaid "Build Your Best Year" Instant Win Game (the "Game") is open to legal residents of the fifty (50) United States and the District of Columbia, 18 years of age and older as of January 16, 2012 and who are physically located and reside in the United States or District of Columbia. Void in Puerto Rico and where prohibited. Employees of Visa U.S.A. Inc., Visa Inc. ("Sponsor"), Visa International Service Association, and their respective parents, successors, affiliates, subsidiaries, trustees, and client financial institutions, prize suppliers, and advertising and promotion agencies, Tenthwave Digital LLC ("Tenthwave"), Facebook, and each of their respective agents, representatives, officers, directors, shareholders, and employees (collectively, "Releasees"), and each of their immediate family members (spouse, and parents, children, and siblings, and their respective spouses, regardless of where they live) and individuals living in the same households of each of these individuals, whether related or not, of the above are not eligible to play, enter or win. 3. GAME TIMING/DESCRIPTION: The Game begins at 7:00:00 AM Pacific Time (PT) on January 16, and ends 11:59:59 PM PT on February 29, 2012 (the "Promotional Period"). Thirty-one (31) Prizes will be awarded instantly each day of the Promotional Period and one (1) Grand Prize will be awarded in a random drawing at the end of the Promotion Period. Unclaimed instant win prizes will be not be awarded.

4. HOW TO PLAY: You may play the Game through the application that appears on the Visa Prepaid Facebook page. To access the Visa Prepaid Build Your Best Year Instant Win Game application, you must go to Facebook.com/VisaPrepaid and click on the "like" button. Consumers must "allow" the application in order to access the game. You will be asked to complete and submit the online Registration Form including your first and last name, email address (associated with your Facebook account), and date of birth, and to check the box confirming that you have read and agree to the Official Rules. Once you have successfully registered, you will be presented with a game page ("Game Play Page"). Follow the instructions on the Game Play Page. When you have completed your game play and clicked the submit button, you will receive a message which will indicate whether or not you have won a prize. If you receive a potential prize winning message, you are a winner of the prize indicated subject to verification of eligibility and compliance with the terms of these Official Rules and you will be asked to submit your mailing address immediately upon receiving a prize winning message. If you do not receive a prize winning message, you are not an instant winner. Thirty-one (31) winning messages will be seeded randomly by Sponsor each day throughout the Promotional Period. The participant who is the first to play at a randomly seeded time, as determined by Sponsor, or the first participant to play after a randomly seeded time if no one plays at a randomly seeded time, as determined and verified by Sponsor, will receive a prize winning message. Plus, each day you play the Game during the Promotional Period, you will receive one entry in the Grand Prize Random Drawing (see Rule 5 below). Limit one (1) Game Play per person and per Facebook account per day. Subsequent Game Plays submitted by the same person or Facebook account in excess of the stated limitation for any day will be void. A "day", for purposes of this Game, is defined as the 24-hour period beginning at 12:00:00 AM PT each day and ending at 11:59:59 PM PT the same day, except on January 16, 2012 when the day will begin at 7:00:00 AM PT. Game Play must be completed during the Promotional Period in order to be valid. Proof of Game Play and/or winning that is generated or provided by an entrant shall not be considered proof of playing and/or winning by Sponsor. Game play must be made by 11:59:59 PM PT on February 29, 2012, when the Game ends. Game Plays made with the same or multiple Facebook IDs, under same or multiple identities or through the use of any agent or other device or artifice to play multiple times in a day will be deemed invalid. Incomplete Game Plays not complying with these Official Rules are subject to disqualification and will be deemed void. Registrations/Game Plays that have been generated by a script, macro, bot or any other automated means will be deemed void. Registrations/Game Plays that are mechanically reproduced, copied, incomplete or inaccurate are void. All materials submitted in connection with the Game become the property of the Sponsor and will not be acknowledged or returned. If a dispute results as to the identity of a participant, it will be determined that the registration/Game Play was submitted by the authorized account holder of the Facebook ID provided on the registration form. For these purposes, the authorized account holder is the natural person assigned to a Facebook ID by Facebook.com. The promotional website's database clock will be the official timekeeping device for this Game. ANY UNCLAIMED INSTANT WIN PRIZES WILL NOT BE AWARDED.

5. HOW TO ENTER THE GRAND PRIZE RANDOM DRAWING: You will automatically receive one (1) entry into the Grand Prize Random Drawing (the "Random Drawing") each day you play the Game during the Promotional Period. Limit one (1) Game Play per person/Facebook ID per day. Additional Entries: There are two (2) ways to gain additional entries in the Random Drawing: (1) Upon completion of a Game Play, you will be given the opportunity to earn additional entries in the Random Drawing by inviting your friends to play the game through the Visa Prepaid Build Your Best Year Instant Win Game application (the "Game application") on Facebook. Post to your Facebook wall that you have played the Game. When a friend clicks on the link that appears in your wall post, "allows" the Game application, completes and submits the online Registration Form and completes a Game Play during the Promotion Period ("qualified friend"), you will earn one (1) additional entry in the Random Drawing for each qualified friend. Entries must be received by 11:59:59 PM PT on February 29, 2012 in order to be eligible for the random drawing. Limit twenty (20) additional entries per person and per Facebook account per day. There is a limit of twenty (20) additional entries per person per day, regardless of method of entry. Subsequent entries received by the same person on the same day in excess of the stated daily limitation (20) will be void. DETERMINATION OF WINNERS: Potential Instant Win Game winners will receive immediate notification online, and via email notification subject to verification of eligibility and compliance with the terms of these Official Rules. A random drawing will be conducted on or about March 2, 2012 from among all eligible entries received in order to award the Grand Prize. Drawing will be conducted by Tenthwave Digital LLC., an independent judging organization. Potential Grand Prize winner will be notified on or about March23, 2012 by electronic mail All potential winners will be required to verify their mailing address within seven (7) days of email notification prior to issuance of prize. Non-compliance within this time frame or with the Official Rules, or if prize or prize notification is returned as undeliverable, will result in the entrant being disqualified, and the Grand Prize will be awarded to a potential alternate winner. 9. CONDITIONS OF PARTICIPATION: By playing the Game and entering the Random Drawing, entrants agree to be bound by these Official Rules including all eligibility requirements and the decisions of the Sponsor and judges, which are final and binding. By accepting a prize, winners consent to the use of their names, images, likenesses, photographs, voices, and biographical material for advertising, publicity, and promotional purposes by Sponsor, or party designated by the Sponsor, in any and all media now or hereafter devised, including but not limited to, any online announcements, worldwide in perpetuity, without additional compensation, notification, or permission, except where prohibited by law. Entrants release and hold harmless Releasees from any claims, actions, injury, loss, or damage of any kind, including but not limited to, personal injury or death, resulting, directly or indirectly, in whole or in part, from participating in this Game or from the acceptance, possession, or use or misuse of any prize. This limitation of liability is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, or consequential damages; loss of data, income or profit; loss of damage to property; and claims of third parties. 10. NUMBER OF PRIZES: No more than the listed number of prizes will be awarded. In the event of a printing, production, technical or human error, or for any other reason, the number of winning Game Plays distributed or received for any prize level exceeds the number of prizes listed in these Official Rules for that level, Sponsor reserves the right to conduct a random drawing from among all non-suspect, eligible prize claims received to award the listed number of prizes for that level.

11. GENERAL: Sponsor will collect information from the entrants solely for the purpose of notifying the winners. Sponsor will not share this information with any third party, except as necessary for the administration of the Game or winner notification as applicable, nor attempt to contact entrant, unless entrant has agreed to receive further information on Sponsor's products and promotions. Releasees are not responsible for lost, late, misdirected, inaccurate, incomplete, undelivered, damaged, delayed, or garbled Game Plays, claims or entries; or for any other errors or problems of any kind, whether typographical, printing, mechanical, human, electronic, or otherwise, relating to or in connection with the Game, including, without limitation, any error or problem that may occur in connection with the administration of the Game, the processing of Game Plays/entries, the announcement of the prizes, or in any Game-related materials. Facebook, Inc. may without notification of Sponsor, remove the Game application on the Visa Prepaid Facebook page at any time for any reason, in their sole discretion. By participating, entrants acknowledge that Sponsor shall have no responsibility in the event of such action. Entry materials that have been tampered with or altered are void. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Game at any time without notice, if in the judges' opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Game, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness, or integrity and proper play of the Game. In the event of cancellation, Sponsor may void any entries it suspects are at issue and, award remaining unclaimed prize(s) in a random drawing from among all non-suspect, eligible entries received up to the date of cancellation. Caution: Any attempt by an entrant or any other individual to damage the web site or undermine the legitimate operation of the Game may be in violation of criminal and civil laws and, should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies (including attorneys' fees) from any such person to the fullest extent permitted by law, including criminal prosecution. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify entrants who violate these Official Rules or interfere with this Game in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant's eligibility to participate in the Game. Any attempt by an individual to access any website associated with the Game via a bot script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited.

12. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Eligible Participant and Sponsor in connection with the Game, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
