(“Sponsor”), Panomark Inc., Picketfence Inc., d/b/a Sandbox Studio (“Sandbox”) , DBA Auction Cause, Auction Cause Corporation, Gazin Auctions, INC, and Realtime Media LLC (“Administrator”), and each of their respective parents, affiliates, subsidiaries, divisions, advertising, promotional, fulfillment and marketing agencies (collectively, the “Promotion Entities”), their immediate families (parent, child, sibling & spouse, regardless of where they reside) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Promotion. 2.HOW TO PARTICIPATE: To participate, visit http://go.rtm.com/eBayfashionvaul...int-sweeps (the “Website”) during the Promotion Period to gain access to the Promotion registration page. Once there, follow the directions provided to complete the official Promotion entry form with your true and correct information (Required Fields: Full Name and Email Address) and click the “Submit” button to receive one (1) entry (“Entry”) into the Sweepstakes and to gain access to the Instant Win Game. By entering this promotion you have agreed to receive the eBay Fashion Vault Sales Update emails. Existing members of eBay’s “Fashion Vault” will automatically receive one (1) Entry into the Sweepstakes. Existing members may play the Instant Win Game by visiting the Website and logging with their existing information.

To play the Instant Win Game, click each card, which will prompt the card to flip over, revealing the other side. Once all the cards have been flipped over and revealed, you will receive either a winning or losing Instant Win message. Instant Win Game winners will be prompted to claim their applicable prize by clicking “Redeem” and entering their Full Mailing Address, which is required in order to receive a prize. P.O. Boxes are not an acceptable mailing address and will be disqualified. Upon completion of the Instant Win Game and, if necessary, the Redemption Process, entrants will have the opportunity to share the Promotion using the One2Many Program, as detailed below. 3.PRIZES, DRAWING AND ODDS OF WINNING:•Instant Win Prize Allocation: One Hundred Forty (140) Instant Win Prizes will be awarded. Each Instant Win Prize will be randomly assigned to a specific time during the Promotion Period. The participant who first submits a valid game play at or immediately after the randomly pre-assigned specific time will be eligible to win the Instant Win prize assigned to that time. If the participant is a potential winner of a prize, he/she will see a message onscreen informing him/her of the applicable prize. The odds of winning an Instant Win prize depend on the number of eligible game plays received and the date and time of participation.

Actual prize value depends on the location of the winner’s residence and dates of travel. Travel must be taken within One Hundred Twenty (120) days of January 31, 2012(deadline date is January 25, 2013) or prize will be forfeited and Sponsor will have no further obligation to such winner. Any difference between stated value and actual value will not be awarded. Winner is responsible for any transportation not specifically noted in these rules. Winner and guest must travel together on the same itinerary and are responsible for obtaining all necessary travel documents prior to travel. Certain restrictions, as determined by Sponsor, may apply. Sponsor will attempt to accommodate winner’s preferred itinerary, but all specifics thereof will be at Sponsor’s discretion. If winner and guest cannot comply with these restrictions or any other portion of these Official Rules, the prize will be forfeited in its entirety and an alternate winner will be chosen. Winner and travel guest must travel together on the same itinerary and must travel from major airport closest to the winner’s residence, as determined by Sponsor, in its sole discretion. Any picture identification requirements associated with air travel are the winner and travel guest’s responsibility. In the event the winner lives within 100 miles from Los Angeles, CA, ground transportation only (not air transportation) will be provided to and from the hotel. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice and trip must be taken on a date of the Sponsor’s choosing. If winner and guest cannot travel on the dates specified by Sponsor, the prize will be forfeited in its entirety and the prize may be awarded to an alternate winner selected in a random drawing from among all remaining eligible entries. Flight details are subject to availability and airline carrier’s regulations and conditions apply. The trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Promotion Entities are not responsible for lost or mutilated tickets and none will be replaced. Airline tickets are non-refundable, non-transferable, and are not valid for upgrades. The hotel accommodations, airline tickets, and gift card will be determined at the sole discretion of Sponsor. If any portion of the prize is not available for any reason then the Sponsor reserves the right to substitute that portion of the prize with another prize of comparable or greater value. Guest must be 18 years of age or older and must complete and return a publicity and liability release at least fifteen (15) days prior to departure. All federal, state and local taxes and any other costs and expenses associated with prize acceptance and use not listed herein as part of the prize including, without limitation, ground transportation (other than that specified above as included in prize), luggage fees, souvenirs, miscellaneous hotel expenses, and gratuities are the sole responsibility of winner.

4.WINNER NOTIFICATION: Potential Grand Prize winner will receive prize notification via email and/or phone call, within three (3) days of the drawing date or as soon thereafter as reasonably practicable. The Potential Grand Prize winner will be sent via email and/or overnight mail an Affidavit of Eligibility/Release and an IRS W9 Form. All forms must be completed, signed, notarized and returned to Realtime Media within seven (7) days of date of issuance. The Potential Grand Prize winner then and only then becomes the “winner.” If such potential winner cannot be contacted within a reasonable time period, if the potential winner is ineligible, if any notification is returned undeliverable, or if the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that prize and an alternate winner will be selected from among all remaining entries for that drawing. Only winners of a prize valued at $600 or more will be required to fill out and return the Affidavit of Eligibility/Release and an IRS W9 Form.
5.GENERAL CONDITIONS: Limit of one (1) Instant Win Prize per person and per email address, per household. Instant Win Prize winners are also eligible to win the Sweepstakes Grand Prize. Sponsor, in its sole discretion, shall determine the shade and/or color of all prizes awarded. No prize substitution, cash equivalent of prize, transfer or assignment of prize (or portion thereof) permitted, except by Sponsor in its sole discretion, or as otherwise provided herein. Sponsor reserves the right to substitute the prize with one of comparable or greater value, at its sole discretion. Any difference between the ARV and actual value of the prize will not be awarded. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. All prize details are at Sponsor’s sole discretion. Prizes will be fulfilled within six (6) to eight (8) weeks after the conclusion of the Promotion. If a potential winner fails to fully comply with these Official Rules, he/she will forfeit that prize and the prize may be awarded to an alternate potential winner as randomly selected by the Promotion Entities from among all remaining eligible Entries and/or game plays received.

All decisions of the Sponsor shall be binding and final. The Promotion Entities do not assume any responsibility for any disruption in the Promotion caused by circumstance or other unforeseen events. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Promotion materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In no event will more prizes be awarded than are listed in the section above. If due to seeding, technical, typographical, printing, electronic or other errors, the number of valid prize claims received for any prize in the Promotion exceeds the number of such prizes set forth herein, Promotion Entities reserves the right to conduct a random drawing to award the stated number of prizes at any prize level from among all valid and non-suspect prize claims received for such prize at that prize level. A prize not accepted by a prize winner will be forfeited. Promotion Entities have neither made nor are responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, condition, or fitness for a particular purpose.

Entrants grant the Promotion Entities the right to use and publish their proper name, image, likeness and state of residence online and off-line in any and all media now or hereafter known throughout the world in perpetuity in connection with the Promotion. Acceptance of a prize constitutes permission for the Promotion Entities and their affiliates to use a winner's name, image and likeness, solely for advertising and promotional purposes as the Promotion Entities so determine without notice or further compensation, except where prohibited by law. All decisions of the Administrator shall be binding and final. Entries and/or game plays will be deemed made by the authorized account holder of the email address submitted at time of entry. In the event of a dispute regarding the identity of any potential winner, the potential winner will be deemed to be the authorized account holder of the associated email address submitted at time of entry. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. A potential winner may be requested to provide the Sponsor with proof that he/she is the authorized account holder of the email address associated with the winning Entry. If, in Sponsor’s sole determination, a dispute cannot be resolved, the Entry and/or game play will be deemed ineligible. Entries and/or game plays generated by a script, macro or other automated means will be disqualified. None of the Promotion Entities shall be responsible for, or will honor, lost, late, misdirected, inaccurate, damaged, incomplete, delayed, garbled or undelivered Entries and/or game plays. 6.DISQUALIFICATION: Entrants found tampering with or abusing any aspect of this Promotion, as solely determined by the Promotion Entities, will be disqualified. If disqualified for any of the above abuses, Sponsor reserves the right to terminate an entrant's eligibility to participate in the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
7.LIABILITY & RELEASE: By participating in the Promotion, entrants agree to release and hold harmless the Promotion Entities, Facebook, and the respective officers, directors and employees of each, from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of a prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes; (c) incorrect or inaccurate information, whether caused by site users, tampering, hacking or by any equipment or programming associated with or utilized in the Sweepstakes; (d) lost, late, delayed, undelivered, misdirected, inaccurate, incomplete, damaged or garbled Entries or game plays; (e) errors in the administration of the Promotion, the processing of Entries or game plays, the announcement of the prizes, or in any Sweepstakes-related materials; or (f) injury, loss or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt, use or misuse of a prize. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsors in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
