HOW TO ENTER: The entry period for the Red Lobster "365 Days of Shrimp Giveaway" (the "Sweepstakes") begins at 9:00 a.m. Eastern Time (ET) on September 24, 2012 and ends at 11:59 p.m. ET on September 30, 2012 (the "Entry Period"). To enter, during the Entry Period, access the Sponsor's Facebook page at www.facebook.com/redlobster (the "Site"), "like" the Sponsor's Facebook page (if you have not already done so) and follow the on-screen entry instructions to submit an entry via the application provided under the "365 Days of Shrimp Giveaway" tab on the Site. Entries must be completed and received by 11:59 p.m. ET on September 30, 2012. Normal time and/or data rates, if any, charged by Internet and/or mobile service providers will apply. There is a limit of one (1) entry per person per day (which for purposes of the Sweepstakes means a period of twenty-four (24) hours during the Entry Period beginning at 12:00 a.m. ET and ending at 11:59 p.m. ET, except for the first day of the Sweepstakes, which begins at 9:00 a.m. ET). An entrant may not submit more than one (1) entry per day. No purchase is necessary. All entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor - including, without limitation, government issued photo identification) to participate in this Sweepstakes. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification. In the event of a dispute regarding who submitted an entry, entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor - including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the entry in question.

ELIGIBILITY: This Sweepstakes is open only to legal residents of the fifty (50) United States, the District of Columbia and Canada (excluding Quebec) who as of the date of entry have reached the age of majority in the jurisdiction in which they reside. Current employees of GMRI, Inc. ("Sponsor"), Alliance ("Administrator") or any of its or their subsidiaries, affiliates, distributors or advertising, promotion or Internet agencies or prize providers, and members of the immediate family (i.e., parents, step-parents, children, step-children, siblings, step-siblings or spouses) or household (whether related or not) of any such current employee, are not eligible. Void in Quebec and where prohibited by law.

WINNER SELECTION AND NOTIFICATION: Daily Prize Winners: One (1) potential Daily Prize winner will be selected with respect to each day during the Entry Period. Following the conclusion of each day during the Entry Period, one (1) potential Daily Prize winner will be selected in a random drawing from among all eligible entries received on that day and all non-winning eligible entries previously submitted in the Sweepstakes. Sponsor anticipates that with respect to days during the Entry Period that are on weekends or holidays, the Daily Prize drawing will be conducted on the first subsequent business day. Grand Prize Winner: Following the conclusion of the Entry Period, one (1) potential Grand Prize winner will be selected in a random drawing from among all eligible entries received during the Entry Period. Winner Notification: The potential winners may be notified by mail, telephone and/or e-mail, at Sponsor's discretion. The winners are subject to verification. In the case of a Canadian selected entrant, he/she will be required to correctly answer a mathematical skill-testing question without mechanical or other aid to be administered via telephone at a pre-arranged mutually convenient time. The potential winners may, in Sponsor's discretion, be required to complete and return to Sponsor an Affidavit of Eligibility/Release of Liability, and, if legally permissible, a Publicity Release (collectively, a "Declaration and Release" for residents of Canada), within three (3) days of attempted delivery of same. If a potential winner cannot be reached within seventy-two (72) hours of the initial notification attempt (Sponsor reserves the right not to leave messages on voice mail or answering machines), or fails to respond to any notification attempt within the time period specified by Sponsor, or if any attempted notification or prize delivery is returned as undeliverable, or if a potential winner fails to complete and return any required documentation within three (3) days of attempted delivery of same, or if a potential winner does not otherwise comply with these Official Rules (including the requirement to correctly answer a mathematical skill-testing question if a Canadian) and/or cannot accept the applicable prize as awarded for any reason, then the potential winner may be disqualified and an alternate winner may, at Sponsor's discretion, be selected for the applicable prize from among the remaining eligible entries as outlined in these Official Rules. Subject to applicable law, Sponsor reserves the right to conduct background checks on any or all entrants, and Sponsor reserves the right to disqualify any entrant based on such background check if Sponsor determines in its sole discretion that awarding a prize to any such entrant, or publicizing any facts or details about such entrant, might reflect negatively on Sponsor or any Sweepstakes suppliers or partners. Entrants will cooperate with Sponsor and its representatives in connection with any and all verification and background check activities.

PRIZES: Grand Prize: There is one (1) Grand Prize available to be won, which consists of the following: (a) twenty-four (24) Red Lobster eGift cards or physical gift cards (as determined by Sponsor in its discretion) each with a face value of $230.00 USD, the aggregate value of which ($5,520.00 USD) is equivalent to the amount that would be required to purchase a Red Lobster shrimp entrée once per day (not including tax and tip) for a period of one year, based on a current price of $14.99 USD, and (b) $1,700.00 USD, awarded in the form of a check or another payment method determined by Sponsor, to be used by the Winner in his or her discretion. Two (2) gift cards or physical gift cards will be provided to the winner each month for a period of twelve (12) months. Gift cards may be used separately or combined, at participating Red Lobster locations only, for purchase of any Red Lobster menu item(s). Taxes and gratuities are not included. Use of gift cards is subject to issuer's terms and conditions. Other restrictions may apply. The approximate total retail value ("ARV") of the Grand Prize is $7,220.00 USD. Daily Prizes: Thirteen (13) Daily Prizes will be offered (one for each day during the Entry Period). Each Daily Prize consists of one Red Lobster eGift card or physical gift card (as determined by Sponsor in its discretion) with a face value of $50 USD. Use of gift cards is subject to issuer's terms and conditions. Restrictions may apply. The ARV of each Daily Prize is $50. General Prize Terms and Conditions. All prize details will be determined by Sponsor in its discretion. The total ARV of all prizes is $7,570.00. The prizes will be awarded if properly claimed. No substitution, cash redemption or transfer of the right to receive a prize is permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize (or a component thereof) with a prize or prizes of equal or greater value. Prizes consist only of those items expressly specified in these Official Rules as being part of the prize. All expenses or costs associated with the acceptance or use of the prize are the responsibility of the winner. Prizes are awarded "as is" and without any warranty, except as required by law. Odds of winning depend on the number of eligible entries received. FOR US RESIDENTS: All federal, state, local taxes on prize value, if applicable, are the responsibility of the winner. An IRS form 1099 will be issued in the prize recipient's name if required by law.

GENERAL RULES: Sponsor reserves the right to modify these Official Rules or to modify, suspend or terminate the Sweepstakes at any time and for any reason in its discretion. The Released Parties (defined below) are not responsible for late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, or any other human or technical errors of any kind relating to the submission, collection, storage or processing of entries or the administration of the Sweepstakes. Sponsor reserves the right, in its sole discretion, to disqualify or prohibit from participating in the Sweepstakes any individual who, in Sponsor's sole discretion, Sponsor determines or believes (i) has tampered with the entry process, or has undermined the legitimate operation of the Website or the Sweepstakes by cheating, hacking, deception or other unfair playing practices, or (ii) has engaged in conduct that annoys, abuses, threatens or harasses any other entrants or any representative of Sponsor, or (iii) has attempted or intends to attempt any of the foregoing. The use of agents or automated methods or programs to enter the Sweepstakes is prohibited. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Sweepstakes should a virus, bugs, entrant fraud or misconduct, or other causes beyond the control of the Sponsor corrupt the administration, integrity, security or proper operation of the Sweepstakes. In the event of termination of the Sweepstakes, a notice will be posted and a random drawing to award the prizes will be conducted from among all eligible entries received prior to the time of termination. Entry times will be determined using Administrator's computer, which will be the official clock for the Sweepstakes. All federal, state, provincial/territorial and local laws and regulations apply. By entering, each entrant releases and agrees to hold Sponsor, its parent companies, affiliates, subsidiaries, distributors and agents, Administrator, Facebook, each of their successors, and the directors, officers, employees and assigns of each of the foregoing (collectively, the "Released Parties"), harmless from and against any and all claims and liability arising out of participation in or the operation of the Sweepstakes or the acceptance, use or misuse of a prize (or a component thereof) or the use of the entrant's name, voice, biographical information and/or likeness as permitted hereunder (including without limitation all claims and liabilities relating to any personal injury, property damage or loss, death, or violation of the right of publicity or privacy. Entrants assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Sweepstakes or use or redemption of any prize. By entering, each entrant grants permission to the Sponsor and its parent companies, affiliates, subsidiaries, agents and licensees to use the entrant's name, voice, biographical information and/or likeness for purposes of advertising and trade in all media and formats (including without limitation online and in print) without further notice or compensation, except where prohibited by law. All entries become the sole property of Sponsor and will not be returned. By participating in this promotion, each entrant agrees to be bound by the Official Rules and the decisions of Sponsor and the judges, which are final and binding in all respects. Released Parties are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. In no event will more than the number of prizes stated herein be awarded. The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Official Rules, to the extent necessary, for purposes of verifying compliance by any entrant or entry with these Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Sweepstakes as contemplated in these Official Rules, or for any other reason. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Sweepstakes-related materials, the terms and conditions of these Official Rules shall prevail, govern and control.

DISPUTES: By entering the Sweepstakes, each entrant agrees that (a) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees or costs; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrants and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Florida in the United States of America without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Florida. Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted only in the federal or state courts located in the State of Florida, waiving any right to trial by jury, and each entrant consents to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these rules or the Sweepstakes.

USE OF INFORMATION: Sponsor and/or its agents or contractors will collect personal information regarding Sweepstakes entrants, in accordance with Sponsor's privacy policy at http://www.redlobster.com/legal/privacy.asp. By entering the Sweepstakes, each entrant expressly consents to Sponsor, its agents and/or representatives storing, sharing and using the personal information submitted with his/her entry for the purpose of administering the Sweepstakes and in accordance with Sponsor's privacy policy and acknowledges that the entrant has read and accepted Sponsor's privacy policy.

WINNERS' NAMES AND RULES REQUESTS: For the names of the winners, available after October 7, 2012, or a copy of these Official Rules, send a self-addressed, stamped envelope to Red Lobster "365 Days of Shrimp Giveaway" Sweepstakes, Alliance, 200 Fifth Avenue, 4th Floor, New York, NY 10010. Canadian and Vermont residents may omit return postage.
