Timing. The Promotion begins November 19, 2012 at 12:00 a.m. Eastern Time ("ET") and ends December 23, 2012 at 11:59 p.m. ET,

Eligibility. The Promotion is open only to legal residents of the fifty (50) United States (including D.C.) who are at least eighteen (18) years of age at the time of entry. Void where prohibited.

How to Register:
a. ShopRunner Account Method of Entry: During the Promotion Period, visit http://shoprunner.promo.eprize.com/holidays and login to your ShopRunner account. If you do not have a ShopRunner account, you may be asked to register for an account. You will receive (1) entry into the Sweepstakes and one (1) Instant Win game play per day for registering or logging in. Once on the Instant Win Game page, follow the links and instructions to play the Instant Win Game. The Instant Win Game results will be instantly displayed. Potential winners of the Instant Win Game will be provided directions for validation. All potential winners are subject to verification before any prize will be awarded. Administrator is responsible for the functionality of the Instant Win Game.

After you enter the Promotion, you will be invited to submit the names and email addresses of up to three (3) friends who must be eligible to enter the Promotion; each of whom will receive an email notifying him/her about the Promotion. You may also post a unique link to the Promotion on your Facebook page, or tweet it through Twitter. For each friend with a valid email address, who registers for the Promotion through a unique link posted on Twitter or Facebook, you will be given one (1) additional entry into the Sweepstakes. Friends who register online for the Promotion through a unique link will automatically receive two (2) Sweepstakes entries and one (1) Instant Win Game play for registering.

Additionally, if, after registering, you use your ShopRunner account to make a purchase on ShopRunner.com during the promotion Period, you may earn additional Sweepstakes entries. If you make a purchase from Blue Nile, Toys R Us, Lord & Taylor, MacMall, CHEFs or eBags using your ShopRunner account, you will receive two (2) additional Sweepstakes entries and two (2) additional Instant Win Game plays; if you make a purchase from any other retailer using your ShopRunner account, you will receive one (1) additional Sweepstakes entry and one (1) additional Instant Win Game play.

b. Instant Win Game Free Online Method of Entry: To play the Instant Win Game without a ShopRunner account, or making a purchase, visit https://shoprunner.promo.eprize.c..._code_page and click on the "Get Code by Email" and you will automatically receive a code via email. Then, fill out the registration form completely including a valid home address (P.O. Boxes are not permitted) and your code. You will automatically receive one (1) Instant Win Game play for that day. You may request up to five (5) codes per day.

c. Sweepstakes Free Mail-in Method of Entry: To enter the Sweepstakes without a ShopRunner account or making a purchase, hand print your name, address, day and evening phone numbers, email address, and date of birth (all matching your registration details) on a 3" x 5" piece of paper and mail it in an envelope with proper postage to "ShopRunner Play and Win Game," Sweepstakes Fulfillment Client: ShopRunner, Inc. PO Box: 5046 Kalamazoo MI 49003-5046. You will receive five (5) Sweepstakes entries. Limit: Five (5) entries per envelope. All mail-in entries must be handwritten and must be postmarked by December 24, 2012 and received by January 3, 2013. All entries become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost,
late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified.

Limit: Each entrant may earn up to five (5) Sweepstakes entries and five (5) Instant Win Game Plays per day, during the Promotion Period, by any method or combination of methods listed above.

Prizes.
a. Grand Prize Drawing: ONE (1) GRAND PRIZE: One (1) Grand Prize for the Grand Prize Drawing will be awarded. The exact prize for which an entrant is eligible depends on the Creative Presentation through which he/she entered. The Grand Prize for a potential winner who entered through this Promotion will be $50,000. Approximate Retail Value ("ARV"): $50,000.

b. Instant Win Game Prizes: There are five thousand seven hundred forty-four (5,744) Instant Win Game prizes as outlined in the chart below. Each prize will be awarded in the form of a digital code.
