1. Sweepstakes Overview: The Online Play To Win At The Buzzer Game at McDonald's® (the "Sweepstakes") is available at www.NCAA.com/McD ("Website" or "Official Website") and is governed by these Official Rules. There is a separate In-Store Game Play to Win At The Buzzer Game at McDonald's that is governed by separate In-Store Game Official Rules available at participating McDonald's restaurants.

2. Eligibility: The Sweepstakes is open only to legal residents of the 50 United States (or the District of Columbia) who are 13 years of age or older at the time of entry. Persons in any of the following categories are NOT eligible to participate: any person who on or after October 1, 2012 was or is (a) a McDonald's restaurant franchise owner, or a director, officer, employee, agent, or independent contractor of a McDonald's franchise restaurant; (b) a director, officer, employee, agent, or independent contractor of McDonald's USA, LLC, its parent companies, subsidiaries, affiliated companies or service agencies; (c) an employee, director, or officer of any entity engaged in the development, production or distribution of Sweepstakes/In-Store Game materials or of any entities retained by Sponsor for the administration of the Sweepstakes/In-Store Game; (d) a director, member, manager and/or officer of any prize partner ("Prize Partner") or a director, member, manager and/or officer of a Prize Partner's parent companies, subsidiaries, agents, or affiliated companies (specifically, The Coca-Cola Company, Coca-Cola bottlers, National Collegiate Athletic Association® ("NCAA"), ePrize, Inc., Electronic Arts Inc. Employees of a Prize Partner (except as noted in (c) and (d) above) may participate in the Sweepstakes/In-Store Game but may not redeem any Prize provided by their employer. 4. Agreement to Official Rules: By participating in the Sweepstakes, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all matters related to the Sweepstakes.

5. Promotion Period: The Sweepstakes begins at 12:00:00 a.m. Eastern Time ("ET"), March 12, 2013 and ends at 11:59:59 p.m. ET, April 15, 2013 (the "Promotion Period"). Administrator's computer is the official time-keeping device for this Sweepstakes.

6. How to Enter: The Sweepstakes is an online Sweepstakes related to the Play To Win At The Buzzer Game at McDonald's® In-Store Game. The In-Store Game has separate rules, located here: (click here for Official Rules). These rules govern the Sweepstakes only. There are 2 ways to enter the Sweepstakes:
a. Make a Qualifying Purchase at McDonald's to Obtain Codes: Get a game piece (each a "Game Piece") while supplies last during the In-Store Game Play Period. You can obtain Game Pieces on specially-marked packaging of qualifying Food items ("Food Item(s)") by visiting a participating McDonald's restaurant and purchasing one of the following Food Items (where available): Big Mac® sandwich, Quarter Pounder® with Cheese sandwich, Angus Third Pounder sandwich, McMuffin® with Egg sandwich (excluding Sausage McMuffin® sandwich), large Fries. A McDonald's restaurant may run out of specially-marked packaging with Game Pieces, so this promotion is available while supplies last. Click here to see a complete list of participating stores. Each Game Piece will contain a unique code on the specially-marked packaging ("Online Sweepstakes Code" or "Sweeps Code"). Locate the Sweeps Code and then visit www.ncaa.com/mcd and log in to your My Coke Rewards ("MCR") Account ("Account") if you have one. If you are not already an MCR member, follow the onscreen directions to become one (see Section 7, below, for details on becoming a MCR member). b. Alternate Methods of Receiving a Sweeps Code: To participate in the Sweepstakes without visiting a McDonald's restaurant or making a qualifying purchase, follow the instructions below to request a Sweeps Code.

Note that requests received by Sponsor after March 18, 2013 may not be fulfilled in time for entrant to enter online, but will be valid for in-store game play. If you are not already an MCR member, follow the onscreen directions to become one (See Section 7, below, for details on becoming a My Coke Rewards member). Once logged in to your Account, click here to request a Sweeps Code.

The Sweeps Code will be mailed to you at the address provided on the SASE if you mailed in your Sweeps Code request (for Section 6(b)(i), above) or emailed to you at the email address used to register for your Account (for Section 6(b)(ii), above). Once you have obtained a Sweeps Code, visit the website address in the email you received with the Sweeps Code (obtained through either of the methods described in Section 6(b) above) and follow the links and instructions to input the Sweeps Code where indicated to receive 1 entry into the Grand Prize Sweepstakes and be awarded one randomly-selected virtual Game Piece based on the odds stated below. If you received the Sweeps Code by mail, you first will need to log in to your MCR Account if you have one. For Both Methods of Entry: Limit: 5 Online Sweepstakes Code entries per day, regardless of method or combination of methods of entry, during the Promotion Period. Any attempt by any participant to obtain more than the stated number of plays/entries/Game Pieces by using multiple/different email addresses, identities, Accounts, registrations and logins, or any other methods will void that participant's plays/entries/Game Pieces and that participant may be disqualified. Your Virtual Game Piece will indicate on it the region ("Region") and the seed ("Seed") that has been assigned to you. This will correspond to the seeding that is assigned for 2013 NCAA Division I Men's Basketball Tournament (the "Tournament") on Selection Sunday. Once a team has been assigned to your specific Region and Seed, watch to see if your team wins its game. If it does, every entrant who has a Game Piece with that Region and Seed will be entered into a drawing for the applicable Game Piece Sweepstakes Prize. See prize details in Section 10, below.

7. How to Join My Coke Rewards: Click on the sign up link and follow the instructions to register as a My Coke Rewards member. To become a member, you must have a unique, valid email address. Accounts cannot be shared.

8. All potential winnerS are subject to verification by Sponsor or administrator, whose decisions are final AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. An entrant is not a winner of any prize, even if the SWEEPSTAKES SHOULD so indicate, unless and until entrant's eligibility, AND the potential Winning PLAY/ENTRY/GAME PIECE have been verified, and entrant has been notified that verification is complete. Sponsor will not accept screen shots or other evidence of winning in lieu of ITS validation process. any play that occurs after the Game Piece system has failed for any reason is deemed a defective play, is void and will not be honored.

9. Sweepstakes Prize Selection, Game Piece Distribution, and Verification of Potential Winners: Potential winners must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the selection of potential winners are final and binding in all matters related to the Sweepstakes.

For the Online Game Piece Sweepstakes: Virtual Game Pieces for the Online Game Piece Sweepstakes will be randomly distributed during the Promotion Period based on the odds stated below. If your team wins a game, you will be entered into the drawing for the applicable Game Piece Sweepstakes Prize. For example, if your team wins the Second Round Game, you will be entered into a drawing to win a Second Round Prize. If your team does not win a game, you will not receive an entry into the applicable Game Piece Sweepstakes Prize drawing, but your entry/entries into the Grand Prize Sweepstakes drawing will remain valid. Administrator will randomly select each potential Game Piece Sweepstakes Prize winner on or around April 16, 2013 from all eligible entries received for the winning team of the applicable round of the Tournament. The potential winners will be notified by email, mail, or phone. If you obtain a Virtual Game Piece after your team has won a game, you will still be entered into the drawing for the applicable Game Piece Sweepstakes Prize(s) as well as the Sweepstakes Grand Prize drawing. If you obtain a Virtual Game Piece after your team is eliminated from the Tournament, you will not receive an entry into any of the future Game Piece Sweepstakes Prize drawings, but your entry/entries into the Grand Prize Sweepstakes drawing will remain valid.

For the Grand Prize Sweepstakes: Administrator will randomly select the potential Grand Prize winner on or around April 16, 2013 from all eligible entries received during the Promotion Period. The potential winner will be notified by email, mail, or phone.

For All Prizes: The potential Grand Prize winner and each potential Championship Game Prize winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Administrator, within 5 days of the date notice or attempted notice is sent, a Declaration of Compliance, Liability & Publicity Release (except where prohibited) in order to claim his/her prize and to fulfill any such other requirements as determined by Administrator. If a potential Grand or Championship Game Prize winner fails to do so, he/she may be disqualified and forfeit the prize. In the event that a potential winner of a prize valued at more than $25 cannot be contacted, forfeits the prize, or is disqualified for any reason, if time permits, Administrator will select an alternate potential winner in a random drawing from among all remaining eligible entries received for the applicable prize, up to 3 alternates. If the alternate potential winners are disqualified, the applicable prize will not be awarded. Unclaimed or forfeited prizes valued at $25 or less will not be awarded. Non-travel prizes will be fulfilled approximately 8 to 10 weeks after the conclusion of the Sweepstakes.

If a winner lives 100 miles or fewer from the Final Four location, or less than 200 miles from the Final Four location but where an airport is not readily available, the air travel portion of the prize will be excluded from the prize package and that winner will receive a travel allowance of not less than $100 and not more than $200, in Sponsor's sole discretion. Sponsor is not responsible if any scheduled game or other event is delayed, postponed or cancelled for any reason and winner will not be reimbursed for tickets. Tickets may be subject to issuer's standard rain-check policies and procedures. All expenses, travel, and other costs not expressly stated in the package description above are the sole responsibility of winner. If winner is a minor (as determined by his/her state of residence), winner's guest must be winner's parent/legal guardian. If winner's guest is a minor (as determined by his/her state of residence), winner must be minor's parent/legal guardian and must complete required paperwork on behalf of minor, as applicable. Sponsor and Administrator are not responsible for complaints or issues regarding codes (claims that code is invalid, insufficient, etc.) and winner should address any such issues with the issuer of the code. No substitution, exchange or transfer of prize by any winner. Sponsor reserves the right to substitute any prize for one of equal or greater value. 11. Publicity: Except where prohibited, participation in the Sweepstakes constitutes entrant's consent for Sponsor and its designees to use entrant's name, statement, prize information, likeness, and city and state of residence for promotional purposes in any media without further consideration.

12. General Conditions: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but, not limited to, fraud, technical failures, regularly-scheduled maintenance, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and award the prizes in a random drawing from among all eligible entries received up to the time of impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other Sweepstakes, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

13. Release and Limitations of Liability: Except where prohibited, by participating in the Sweepstakes, entrants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, McDonald's USA, LLC, NCAA, Turner Broadcasting System, Inc., CBS Broadcasting Inc., ePrize, Inc., the Prize Partners (as defined above), and each of their respective parent companies, subsidiaries, affiliates, franchisees, local advertising cooperatives, advertising/Sweepstakes agencies, promotional partners, prize partners, agents and agencies, and the officers, directors, representatives, agents, and employees of each of them (the "Released Parties") from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Sweepstakes or the processing of registrations and game plays; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt, use or misuse of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Sweepstakes and in no event shall the Released Parties be liable for attorney's fees. 14. Disputes: Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any Sweepstakes, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
