I recommend upgrading the CPU and memory if you have to replace the mobo. I bet your system is getting slow anyway. Reuse the videocard.

I have to disagree about it being a low-end PSU, any 80plus PSU with 80% total watts in 12v amps really isn't that low-end, this is more of a budget class for average folks that dosn't require more...

It should be ok, unless you have a ridiculous amount of extra components running as well (like 4+ hard drives, 2 optical drives, 4 RAM slots filled, 10 fans, etc.).
