If you can wait I would get the antec neo eco 400w, it has been around this price many times. That PSU is way better than this one, its made by seasonic and is based/comparable to the s12ii series...

Let's say you overclock that quad CPU. Maximum load will be ~320W under full video and CPU load (a rarity). This PSU will be OK, but it may run a tad warm under full load.

That is not heavy OC. I'm 90% sure your PSU can't handle your GTX 460 while gaming. The minimum is 450W to run the card. Many gaming systems doesn't need 700W or 1200W to run, but high end PSU gives...
