Yes it will work. For the XP, you may have to slipstream SP3 and create a new installation disk due to driver availability (SP3 has updated package of drivers that should work with this).

The few tests I have seen put this CPU about 30-40% faster than an Atom D525, which is in turn faster than your Atom 330. That being said, you will likely NOT be able to transcode and stream video...
