Almost identical. Is not sure what software comes with it but the N580 does have 2 USB 3.0 ports and 2 USB 2.0 ports. The G580 only has 1 USB 3.0 port.

I am guessing you would probably have to do a clean install of windows 7. Its not to hard to get an oem key.. especially if you a picking it up at fry's. Do they still put oem keys on the bottom...
