I used to have the 8800GTS. Now I have a different model of this and you wouldn't regret the upgrade. The difference in power consumption alone is worth the price.

I got this card last time it was 109 AR, and have it with my E5800, which is slower than your e8400, and it works great. Of course, the cpu limits what you can do, but in my experience it isn't bad...
