1. Eligibility: Learn.Choose.Play Sweepstakes (the "Promotion") is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry and registered members of the Cub Cadet Website. Registration on the Cub Cadet Website is free. Visit the Cub Cadet Website for complete details and instructions on how to register. The Promotion is void where prohibited. Employees, officers, and representatives of Cub Cadet LLC, including its corporate parents, subsidiaries, and affiliates, M.J. Brunner, Inc., LLC, ePrize, LLC, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation in the Promotion constitutes entrant's full and unconditional agreement to these Offical Rules, and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of an instant win game (the "Instant Win Game") and a sweepstakes (the "Sweepstakes").

Administrator: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069.

3. Timing: The Promotion begins on March 24, 2011 at 12:01 a.m. Eastern Time ("ET") and ends on June 24, 2011 at 11:59 p.m. ET (the "Promotion Period"). Administrator's computer is the official time-keeping device for the Promotion.

4. How to Enter: During the Promotion Period, visit the Cub Cadet Webstie and login. Click on the link for the Learn.Choose.Play Sweepstakes and follow the links and instructions to complete and submit the registration form, including a valid home address. P.O. Boxes are not permitted. Once you submit the form, you will automatically receive one (1) Sweepstakes entry into the Grand Prize drawing and one (1) Instant Win Game play (collectively an "Entry") for registering for the Promotion. During the Promotion Period, there are six (6) ways to obtain additional Entries.

a. Log In Daily: Visit the Cub Cadet Website and log in up to once per day to receive an additional Entry. Limit: One (1) Entry per day for logging in during the Promotion Period.

b. Rate/Review a Product: Visit the Cub Cadet Website and click on any product that you own or have used. Once you select the product, click on the "Reviews" tab and then click the "Write a Review" link near the "Overall Ratings" section to rate or review a product. Select the number of "stars" you want to rate the product and whether or not you would recommend the product to a friend. Then fill out the "My Review" section to review the product. Upon completion of the product rating, you will receive one (1) Entry. To earn Entries without rating/reviewing products, click the link that states "Don't own a product? Click here to the play the Learn.Choose.Play Sweepstakes for a chance to win instant prizes or a $10,000 grand prize." Limit: one (1) Entry for each product you rate up to five (5) entries per day during the Promotion Period.

c. Watch a Video: Visit the Cub Cadet Website and click on any video that is offered. After watching the video, you will receive one (1) Entry. Limit: one (1) Entry per day for watching a video during the Promotion Period.

d. Register a Product: Visit the Cub Cadet Website and go to the "FAQ" section. Under the Product Registration link, click on "Register Today" and you will receive one (1) Entry for each product you register. To receive an Entry without registering a product, click on the "No Product to Register" link and follow the links and instructions to receive one (1) Entry. Limit: one (1) Entry per day for registering a product or using the "No Product to Register" link during the Promotion Period.

e. Interact with a Product Demo: Visit the Cub Cadet Website and click on any product within the Cub Cadet Website which features a product demo to watch. Once you select the product, click on the "Launch Product Demo" link in order to watch the product demo. After watching the product demo, you will receive one (1) Entry. Limit: one (1) Entry per day for wathching a product demo during the Promotion Period.

f. Search for a Dealer/Retailer: Visit the Cub Cadet Website and click on the link to search for a Dealer or Retailer. When viewing your search results, you will receive one (1) Entry. Limit: one (1) Entry per day for searching for a Dealer/Retailer during the Promotion Period.

After completing the registration form for any of the activites set forth above, proceed to the Instant Win Game page and follow the links and instructions to play the Game. The Instant Win Game results will be instantly displayed. Potential winners of the Instant Win Game will be provided directions for validation. All potential winners are subject to verification before any prize will be awarded. Administrator is responsible for the functionality of the Instant Win Game.

For Instant Win Game and the Sweepstakes: Multiple entrants are not permitted to share the same e-mail addres. Any attempt by an entrant to obtain more than the stated number of Entries by using multiple/different e-mail addresses, identities, registrations and logins, or any other methods will void that entrant's Entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorized account holder of the e-mail address used to register will be deemed to be the registrant or player. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider, Internet service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

Tell a Friend Program: After you play the Instant Win Game, you will be invited to submit the names and e-mail addresses of up to three (3) friends who must be eligible to play the Instant Win Game. Each person that you refer will receive an e-mail notifying him or her about the Instant Win Game. You may only refer persons with whom you have an existing relationship. For each referral of up to three (3) friends with valid e-mail addresses, you will be given one (1) additional Instant Win Game Play and one (1) additional Sweepstakes entry per day through the Tell a Friend Program during the Promotion Period.

5. ALL POTENTIAL WINNING PLAYS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY AND THE POTENTIAL WINNING PLAY HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTET THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY, IS VOID, AND WILL NOT BE HONORED.

6. Sweepstakes/Instant Win Game Prize Selection and Verification of Potential Winners: All selected potential winners must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. Administrator is an independent judging organization whose decisions as to the administration and operation of the Sweepstakes and the Instant Win Game and the selection of potential winners are final and binding in all matters related to the Promotion. Instant Win Game: There will be one thousand fifty (1,050) random, computer-generated winning times during the Promotion Period, one for each Instant Win prize listed below. If you are the first player to play the Instant Win Game at or after one of the randomly-generated times, you will be a potential instant winner of the prize indicated. Sweepstakes: Administrator will randomly select the potential Sweepstakes Grand Prize winner on or around June 28, 2011 from among all eligible entries received during the Promotion Period. The potential winner will be notified by e-mail, mail or phone.

For all potential winners: The potential Grand Prize winner (or parent/legal guadian if winner is a minor is his/her state of residence) will be required to sign and return to Administrator, within ten (10) days of the date of notice or attempted notice is sent, an Affidavit of Eligibility, Liability, and Publicity Release ("Affidavit") in order to claim his/her prize and fulfill any such other requirements as determined by Administrator. If any potential winner cannot be contacted, fails to sign and return the Affidavit of Eligibility, Liability and Publicity Release (when applicable) within the required time period, or if a prize or prize notification is returned as undelivered, the potential winner forfeits the prize. In the event that a potential winner of a Grand, First or Second Prize is disqualified for any reason, Administrator will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. There will be three (3) alternate drawings, after which the applicable prize will remain un-awarded. Unclaimed prizes valued at $25 or less will not be awarded. Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Promotion.

7. Prizes:

Sweepstakes Prize: ONE (1) GRAND PRIZE: A $10,000 check. Approximate Retail Value ("ARV"): $10,000. The odds of winning the Sweepstakes Prize depend on the number of eligible entries received during the Promotion Period.

Instant Win Game Prizes: TEN (10) FIRST PRIZES: A Legacy Wall Clock. ARV: $100. FIFTEEN (15) SECOND PRIZES: An Ultimate Laptop Pack. ARV: $65. SEVENTY-FIVE (75) THIRD PRIZES: Nifty Fifty T-shirt, size, style and color determined by Spnsor, in its sole discretion. ARV: $15. SEVENTY-FIVE (75) FOURTH PRIZES: A Gnarly Flashlight. ARV: $15. THREE HUNDRED TWENTY-FIVE (325) FIFTH PRIZES: Meet the Mighty Mug. ARV: $7. FIVE HUNDRED FIFTY (550) SIXTH PRIZES: A 50th Flexi Key Ring. ARV: $4. Odds of winning an Instant Win Game prize depend on the number of prizes available divided by the number of eligible Instant Win Game plays. Limit: One (1) Instant Win Game prize per person.

For all prizes: All prize details determined by Sponsor in its sole discretion. No cash or other substitution, assignment or transfer of any prizes permitted, except by Sponsor, who reserves the right to substitute a prize with cash or another prize of comparable or greater value. Winners are responsible for all federal, state, and local taxes with fees associated with the prize receipt and/or use. Prizes will be awarded "as is" with no warranty or guarantee, either express or implied offered by Sponsor. TOTAL ARV OF ALL PRIZES: $18,700.

8. Publicity: Except where prohibited, participation in the Promotion constitutes winner's consent to Sponsor's use of winner's name, prize information, likeness, photograph, voice, opinions, biographical information, hometown, and state for promotional purposes in any media without further payment or consideration.

9. General Conditions: Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole disrection. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right, in its sole disrection, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion, or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any Website or undermine the legitimate operation of the Promotion is a violation of criminal and cival law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Release: By receipt of any prize, winner agrees to release and hold harmless Sponsor, M.J. Brunner, Inc., ePrize, LLC, and any promotional partners, each of their parents, subsidiary, affiliate, and related companies, and each of its and their respective officers, directors, employees, and agents (collectively the "Released Parties") from and against any losses, damages, rights, claim, or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Promotion or resulting directly or indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Promotion, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion or privacy.

11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, or network hardware, or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion of the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion, or receipt, or use of any prize or while traveling to or from any prize-related activity. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Instant Win Game play or Sweepstakes entry, if it is possible. If the Promotion, or any part of it, is discontinued for any reason, Sponsor, in its sole discrection, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming, or any other reasons cause more than the stateed number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing along all legitimate, un-awarded, eligible prize claims.



12. Disputes: Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and constructed in accordance with, the laws of the state of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the state of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Michigan.

13. Entrant's Personal Information: Information collected from entrants is subject to the ePrize Privacy Policy and the Sponsor's Privacy Policy .

14. Winner List: The winner list will be posted after winner confirmation is complete.
