1. Eligibility: Mello Yello UTC Program (the "Promotion") is open only to legal residents of the 50 United States or the District of Columbia who are 13 years old or older at the time of entry. Void where prohibited. Employees of The Coca-Cola Company, Coca-Cola bottlers, Mobile Messaging Solutions, Inc., ePrize, LLC, Piaggio Group Americas, Inc., ("Piaggio") and their respective related companies, parents, subsidiaries, affiliates, prize providers, and agents and any agencies or other companies involved in the development or execution of the Promotion or production or distribution of Promotion materials, and the immediate family (spouse, parents, siblings, and children) and household members of each are not eligible. The Promotion consists of an Instant Win game (the "Instant Win Game") and a Sweepstakes (the "Sweepstakes").

3. Agreement to Official Rules: By participating in the Promotion, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor and Administrator, which are final and binding in all matters related to the Promotion.
4. Timing: The Promotion begins February 27, 2012 at 12:00 p.m. Eastern Time ("ET"), and ends April 30, 2012 at 11:59 p.m. ET (the "Promotion Period") and consists of 9 entry periods (each, an "Entry Period") as set forth in the chart below:

5. How to Enter: There are 2 ways to enter:
a. Purchase Specially-Marked Mello Yello Products and Enter Via Text Message: During the Promotion Period and while supplies last, purchase any specially-marked Mello Yello products. Each specially-marked product will contain a unique 14-digit code under the cap (the "Cap Code"). During the Promotion Period, using a cellular telephone or a two-way text-messaging capable device (the "Device"), text the Cap Code to the short code 75575. Each text message constitutes 1 Instant Win Game play and 1 Sweepstakes entry for the applicable Entry Period. See additional information below. If you play the Instant Win Game and are not an instant winner, you will be provided a second chance code ("Second Chance Code" is also called a "Bonus Code" in text messaging & online) to enter online to receive a second Instant Win Game play and Sweepstakes entry. If however, you play the Instant Win Game via text message and receive a winning message, you will receive a prize code that will award you an additional Sweepstakes entry upon redemption.
By entering the Promotion via this method of entry, you will receive 5 text messages in response to your entry and up to 2 program text message alerts per month, unless you opt out from receiving such alerts by following the designated process. b. Alternate Method of Entry ("AMOE"): To enter the Promotion without purchasing specially-marked Mello Yello productsor without using a Device, follow the instructions below to request an AMOE code (the "AMOE Code").
(i) Mail-In AMOE Code Request (available from February 17, 2012 at 12:00 a.m. ET through April 20, 2012 at 11:59 p.m. ET): To request an AMOE Code, mail a 3"x5" piece of paper with your name, home mailing address, email address, date of birth, day/evening/cell phone numbers in an envelope with proper postage to "Mello Yello UTC Program — AMOE Code Request, c/o ePrize, LLC PO Box 5046, Kalamazoo, MI, 49003-5046. All requests must be postmarked by April 21, 2012 and received by April 28, 2012. Limit: 1 request per envelope. All requests must be hand printed and become the exclusive property of the Sponsor. None will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsor. The Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due requests, which will not be honored.
(ii) Online AMOE Code Request (available from April 21, 2012 at 12:00 a.m. ET through April 30, 2012 at 11:59 p.m. ET): To request an AMOE Code online, come back between April 21, 2012 at 12:00 a.m. ET and April 30, 2012 at 11:59 p.m. ET and click HERE. You must be logged in to your Mello Yello account (the "Account") to request a code. If you do not have an Account, visit www.melloyello.
The AMOE Code will be emailed to the email address provided in your mail-in AMOE Code request (for Section 5(b)(i), above) or the email address used to register for your Account (for Section 5(b)(ii), above). Once you have obtained an AMOE Code, visit the website address in the email you received with the AMOE Code (obtained through either method described above) and follow the links and instructions to input that AMOE Code where indicated to receive 1 Instant Win Game play and 1 Sweepstakes entry for the applicable Entry Period. You must access the AMOE entry page through the link located in the email that you received. If you play the Instant Win Game and are not an instant winner, you will be provided a second chance code ("Second Chance Code" is also called a "Bonus Code" online) to enter online to receive a second Instant Win Game play and Sweepstakes entry. If however, you play the Instant Win Game via AMOE and receive a winning message, you will need to follow the links and instructions online to recieve an additional Sweepstakes entry.
c. Enter Online (Second Chance Codes Only): During the Promotion Period, after entering the Sweepstakes and playing the Instant Win Game as described in Sections 5(a) and (b) above, visit www.melloyello.
Upon entry you will be instantly notified if you are a potential winner of 1 of the Instant Win Game prizes. The Instant Win Game is not compatible with systems using Opera Web Browsers. If you entered via the text-messaging method described in Section 5(a) above and receive a winning message, a digital prize code ("Prize Code") and redemption instructions will be delivered via text-message to the Device you used to enter the Promotion, subject to verification. If you entered via the AMOE described in Section 5(b) above, or via Second Chance Code, and receive a winning message, the redemption instructions will be delivered via electronic message to the email address you used to register for your Account, subject to verification. You will not receive or have to enter a Prize Code if you win during your AMOE or Second Chance Play. Winning messages containing Prize Codes will be collectively referred to as prize messages ("Prize Messages").
Limit: Up to 1 Sweepstakes entry and 1 Instant Win Game play per day during the Promotion Period, regardless of method, not including any Second Chance Codes or additional Sweepstakes entries received with an Instant Win Game winner message. You may enter up to 1 Second Chance Code or Prize Codes per day. Multiple participants are not permitted to share the same email address or text-messaging capable device. Any attempt by any participant to obtain more than the stated number of entries/plays by using multiple/different email addresses, text-messaging capable devices, identities, registrations or logins, or any other methods will void that participant's entries/plays and that participant may be disqualified. Any use of robotic, repetitive, automatic, programmed or similar entry/play methods or agents (including, but not limited to, sweepstakes entry services) will void all entries/plays by that entrant. In the event of a dispute as to any online entry/play, the authorized account holder of the email address or text-messaging capable device used to enter/play will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Otherwise, the "authorized account holder" of a text-messaging capable device is the natural person in whose name the device has been issued and the services are billed. Potential winners may be required to show proof of being authorized account holders. Second Chance Codes, AMOE Codes will expire at the conclusion of the Promotion Period. Prize codes will expire 30 days after the win date.
6. ALL POTENTIAL INSTANT WIN GAME WINNERS AND SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME OR SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY, AND THE POTENTIAL INSTANT WIN GAME WINNER AND/OR POTENTIAL SWEEPSTAKES WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE INSTANT WIN GAME SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY, IS VOID AND WILL NOT BE HONORED.
7. Promotion Prize Selection and Verification of Potential Winners: Potential winners must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion. For the Instant Win Game: There will be 6,198 random, computer-generated winning times during the Promotion Period, 1 for each of the Instant Win prizes listed below. If you are the first player to play the Instant Win Game at or after one of the randomly-generated times, you will be a potential instant winner of the prize indicated. For the Sweepstakes: Administrator will randomly select the potential Sweepstakes winners on or around the dates set forth in the chart in Section 4 above from all eligible entries received during the applicable Entry Period. Non-winning entries will not carry-over into subsequent Entry Period drawings. The potential winners will be notified by email, mail or phone. For All Potential Winners: Any potential winner who entered via text messaging will be notified by phone and/or text message at the phone number of the text-messaging device used to enter the Promotion. Potential winners of any Instant Win prize who entered via text messaging must follow the instructions provided to complete the prize redemption within 30 days. Each potential Sweepstakes winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Administrator, within 5 days of the date notice or attempted notice is sent, a Declaration of Compliance, Liability and Publicity Release ("Declaration") in order to claim his/her prize and to fulfill any such other requirements as determined by Administrator. The parent/legal guardian of any winner of a Sweepstakes Prize under the age of 17 is required to accept delivery of the prize in addition to completing the Declaration described above. If any potential winner cannot be contacted, fails to complete the prize redemption within 30 days from the time first notified (applicable to entrants via text-messaging only), fails to sign and return the Declaration (for Sweepstakes prizes only) within the required time period, or if a prize is returned as undeliverable, he/she forfeits prize. In the event that a potential winner of any prize valued at more than $25 is disqualified for any reason, Administrator will award the applicable prize to an alternate winner in a random drawing from among all remaining eligible entries, up to 3 alternates. If the alternate potential winners are disqualified, the applicable prize will not be awarded. Unclaimed prizes valued at $25 or less will not be awarded. Prizes will be fulfilled approximately 10 to 12 weeks after the conclusion of the Promotion.
8. Prizes:
a. Sweepstakes Prizes: 9 PRIZES (1 per Entry Period): A Vespa® LX 50 (the "Vehicle"), color and all details determined by Sponsor in its sole discretion. Approximate Retail Value ("ARV"): $3,299. Each Sweepstakes Winner will be responsible for any additional costs associated with the Vehicle, including without limitations title, tax, license, PDI (pre-destination inspection), registration, shipping, insurance, and any additional accessories and options as agreed to between winner and the authorized Vespa USA dealership location at which the Vehicle will be delivered, as determined by Piaggio in its sole discretion. Each Sweepstakes Winner will be responsible for pick up of the Vehicle at a time and location determined in the sole discretion of Piaggio (Piaggio will endeavor, as a courtesy, to select a dealership close to the residence of the Sweepstakes Winner). Each Sweepstakes Winner (or his/her parent/legal guardian, if applicable) is also responsible for shipping arrangements and shipping charges from the authorized Vespa USA dealership where pick up is scheduled or from any other Vespa USA dealership location, if Sweepstakes Winner is unable or unwilling to accept delivery at the specified dealership.
Each Sweepstakes Winner must complete all documentation required by Sponsor and Administrator. At time of award of Vehicle, each Sweepstakes Winner (i) will assume full ownership of and responsibility for the Vehicle; (ii) will be required to sign various documents involving the Vehicle; and (iii) must furnish proof of residence, valid operator's license as required by the law of the Sweepstakes Winner's jurisdiction of residence and of the jurisdiction of pick up and any required insurance coverage. Each Sweepstakes Winner is responsible for determining the class of license necessary to legally operate the Vehicle. Piaggio reserves the right to withhold delivery of the Vehicle if Sweepstakes Winner does not comply with the above requirements.
Each Sweepstakes Winner is solely responsible for complying with any applicable federal, state and/or local laws and regulations applicable to the Vehicle, including without limitation registration requirements and operating restrictions. The Internal Revenue Service requires a Form 1099 MISC to be issued and filed for any prize winner if the annual aggregate value of the prizes received is $600 or more. Administrator will issue a Form 1099 MISC to each Sweepstakes Winner for the ARV of the Vehicle. Federal, State and local taxes are responsibility of each Sweepstakes Winner.
If selected, each Sweepstakes Winner must take delivery of Vehicle by June 30, 2012, or prize may be forfeited, at Sponsor's sole discretion, and the Vehicle may be awarded to an alternate Sweepstakes Winner in accordance with the Official Rules of this Promotion. Sponsor and Administrator are not responsible for delays in delivery. All other expenses and items not specifically mentioned in these Official Rules are not included and are the Sweepstakes Winner's sole responsibility. Sweepstakes Prizes may not be exchanged. No transfer, substitution or cash equivalent of any Sweepstakes Prize permitted. Prizes are subject to availability and substitution with a prize of equal or greater retail value if a Sweepstakes Prize is unavailable or cannot be awarded for any reason, at the sole discretion of Sponsor. The value of the Sweepstakes Prize set forth above represents Sponsor's good faith determination of the ARV thereof and cannot be challenged or appealed. In the event that the ARV of a prize is more than the actual retail value of the prize, the difference will not be awarded in cash or otherwise.
Sponsor and Piaggio have made no warranty or guarantee, in whole or in part, express or implied, in fact or in law, in relation to the use of any prize including, but not limited to, its quality, merchantability, fitness for a particular purpose or suitability for use and, further, accepts no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.
The odds of winning a Sweepstakes Prize depends on the number of eligible entries received during the applicable Entry Period.
b. Instant Win Game Prizes:

The odds of winning an Instant Win Game prize depends on the number of prizes available divided by the number of eligible Instant Win Game plays.
For All Prizes: Total ARV of All Prizes: $48,691. No substitution, exchange or transfer of prize by any winner. Sponsor reserves the right to substitute any prize for one of equal or greater value. Winners are responsible for all taxes and fees associated with prize receipt and/or use, including any fees associated with accepting a Vehicle. Limit: 1 Sweepstakes Prize per person and up to 5 Instant Win Game Prizes per household.
9. Publicity: Except where prohibited, participation in the Promotion constitutes entrant's consent for Sponsor and its designees to use entrant's name, prize information, likeness, city and state of residence for promotional purposes in any media without further consideration.
10. General Conditions: In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but, not limited to, fraud, technical failures, regularly scheduled maintenance, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Promotion and award the prizes in a random drawing from among all eligible entries received up to the time of impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
11. Release and Limitations of Liability: Except where prohibited, by participating in the Promotion, entrants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, ePrize, LLC, Piaggio Group Americas, Inc.,authorized Vespa retail dealers, their respective parents, subsidiaries, affiliates, promotional partners, prize partners, agents and agencies, and the officers, directors and employees of each of them (the "Released Parties") from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to cellular networks, computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Promotion or the processing of registrations and game plays; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney's fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Sweepstakes entry or Instant Win Game play, if it is possible. If the Promotion, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any prize offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth herein to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.
12. Disputes: Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any Promotion, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

(i) Mail-In AMOE Code Request (available from February 17, 2012 at 12:00 a.m. ET through April 20, 2012 at 11:59 p.m. ET): To request an AMOE Code, mail a 3"x5" piece of paper with your name, home mailing address, email address, date of birth, day/evening/cell phone numbers in an envelope with proper postage to "Mello Yello UTC Program — AMOE Code Request, c/o ePrize, LLC PO Box 5046, Kalamazoo, MI, 49003-5046. All requests must be postmarked by April 21, 2012 and received by April 28, 2012. Limit: 1 request per envelope. All requests must be hand printed and become the exclusive property of the Sponsor. None will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsor. The Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due requests, which will not be honored.
(ii) Online AMOE Code Request (available from April 21, 2012 at 12:00 a.m. ET through April 30, 2012 at 11:59 p.m. ET): To request an AMOE Code online, come back between April 21, 2012 at 12:00 a.m. ET and April 30, 2012 at 11:59 p.m. ET and click HERE. You must be logged in to your Mello Yello account (the "Account") to request a code. If you do not have an Account, visit www.melloyello.
The AMOE Code will be emailed to the email address provided in your mail-in AMOE Code request (for Section 5(b)(i), above) or the email address used to register for your Account (for Section 5(b)(ii), above). Once you have obtained an AMOE Code, visit the website address in the email you received with the AMOE Code (obtained through either method described above) and follow the links and instructions to input that AMOE Code where indicated to receive 1 Instant Win Game play and 1 Sweepstakes entry for the applicable Entry Period. You must access the AMOE entry page through the link located in the email that you received. If you play the Instant Win Game and are not an instant winner, you will be provided a second chance code ("Second Chance Code" is also called a "Bonus Code" online) to enter online to receive a second Instant Win Game play and Sweepstakes entry. If however, you play the Instant Win Game via AMOE and receive a winning message, you will need to follow the links and instructions online to recieve an additional Sweepstakes entry.
c. Enter Online (Second Chance Codes Only): During the Promotion Period, after entering the Sweepstakes and playing the Instant Win Game as described in Sections 5(a) and (b) above, visit www.melloyello.
Upon entry you will be instantly notified if you are a potential winner of 1 of the Instant Win Game prizes. The Instant Win Game is not compatible with systems using Opera Web Browsers. If you entered via the text-messaging method described in Section 5(a) above and receive a winning message, a digital prize code ("Prize Code") and redemption instructions will be delivered via text-message to the Device you used to enter the Promotion, subject to verification. If you entered via the AMOE described in Section 5(b) above, or via Second Chance Code, and receive a winning message, the redemption instructions will be delivered via electronic message to the email address you used to register for your Account, subject to verification. You will not receive or have to enter a Prize Code if you win during your AMOE or Second Chance Play. Winning messages containing Prize Codes will be collectively referred to as prize messages ("Prize Messages").
Limit: Up to 1 Sweepstakes entry and 1 Instant Win Game play per day during the Promotion Period, regardless of method, not including any Second Chance Codes or additional Sweepstakes entries received with an Instant Win Game winner message. You may enter up to 1 Second Chance Code or Prize Codes per day. Multiple participants are not permitted to share the same email address or text-messaging capable device. Any attempt by any participant to obtain more than the stated number of entries/plays by using multiple/different email addresses, text-messaging capable devices, identities, registrations or logins, or any other methods will void that participant's entries/plays and that participant may be disqualified. In the event of a dispute as to any online entry/play, the authorized account holder of the email address or text-messaging capable device used to enter/play will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Otherwise, the "authorized account holder" of a text-messaging capable device is the natural person in whose name the device has been issued and the services are billed. Potential winners may be required to show proof of being authorized account holders. Second Chance Codes, AMOE Codes will expire at the conclusion of the Promotion Period. Prize codes will expire 30 days after the win date.
6. ALL POTENTIAL INSTANT WIN GAME WINNERS AND SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR OR ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE INSTANT WIN GAME OR SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT'S ELIGIBILITY, AND THE POTENTIAL INSTANT WIN GAME WINNER AND/OR POTENTIAL SWEEPSTAKES WINNER HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS. ANY PLAY THAT OCCURS AFTER THE INSTANT WIN GAME SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE PLAY, IS VOID AND WILL NOT BE HONORED.
7. Promotion Prize Selection and Verification of Potential Winners: Potential winners must comply with all terms and conditions of these Official Rules. Winning is contingent upon fulfilling all requirements. Administrator is an independent judging organization whose decisions as to the administration and operation of the Promotion and the selection of potential winners are final and binding in all matters related to the Promotion. For the Instant Win Game: There will be 6,198 random, computer-generated winning times during the Promotion Period, 1 for each of the Instant Win prizes listed below. If you are the first player to play the Instant Win Game at or after one of the randomly-generated times, you will be a potential instant winner of the prize indicated. For the Sweepstakes: Administrator will randomly select the potential Sweepstakes winners on or around the dates set forth in the chart in Section 4 above from all eligible entries received during the applicable Entry Period. Non-winning entries will not carry-over into subsequent Entry Period drawings. The potential winners will be notified by email, mail or phone. For All Potential Winners: Any potential winner who entered via text messaging will be notified by phone and/or text message at the phone number of the text-messaging device used to enter the Promotion. Potential winners of any Instant Win prize who entered via text messaging must follow the instructions provided to complete the prize redemption within 30 days. Each potential Sweepstakes winner (or parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return to Administrator, within 5 days of the date notice or attempted notice is sent, a Declaration of Compliance, Liability and Publicity Release ("Declaration") in order to claim his/her prize and to fulfill any such other requirements as determined by Administrator. The parent/legal guardian of any winner of a Sweepstakes Prize under the age of 17 is required to accept delivery of the prize in addition to completing the Declaration described above. If any potential winner cannot be contacted, fails to complete the prize redemption within 30 days from the time first notified (applicable to entrants via text-messaging only), fails to sign and return the Declaration (for Sweepstakes prizes only) within the required time period, or if a prize is returned as undeliverable, he/she forfeits prize. In the event that a potential winner of any prize valued at more than $25 is disqualified for any reason, Administrator will award the applicable prize to an alternate winner in a random drawing from among all remaining eligible entries, up to 3 alternates. If the alternate potential winners are disqualified, the applicable prize will not be awarded. Unclaimed prizes valued at $25 or less will not be awarded. Prizes will be fulfilled approximately 10 to 12 weeks after the conclusion of the Promotion.
8. Prizes:
a. Sweepstakes Prizes: 9 PRIZES (1 per Entry Period): A Vespa® LX 50 (the "Vehicle"), color and all details determined by Sponsor in its sole discretion. Approximate Retail Value ("ARV"): $3,299. Each Sweepstakes Winner will be responsible for any additional costs associated with the Vehicle, including without limitations title, tax, license, PDI (pre-destination inspection), registration, shipping, insurance, and any additional accessories and options as agreed to between winner and the authorized Vespa USA dealership location at which the Vehicle will be delivered, as determined by Piaggio in its sole discretion. Each Sweepstakes Winner will be responsible for pick up of the Vehicle at a time and location determined in the sole discretion of Piaggio (Piaggio will endeavor, as a courtesy, to select a dealership close to the residence of the Sweepstakes Winner). Each Sweepstakes Winner (or his/her parent/legal guardian, if applicable) is also responsible for shipping arrangements and shipping charges from the authorized Vespa USA dealership where pick up is scheduled or from any other Vespa USA dealership location, if Sweepstakes Winner is unable or unwilling to accept delivery at the specified dealership.
Each Sweepstakes Winner must complete all documentation required by Sponsor and Administrator. At time of award of Vehicle, each Sweepstakes Winner (i) will assume full ownership of and responsibility for the Vehicle; (ii) will be required to sign various documents involving the Vehicle; and (iii) must furnish proof of residence, valid operator's license as required by the law of the Sweepstakes Winner's jurisdiction of residence and of the jurisdiction of pick up and any required insurance coverage. Each Sweepstakes Winner is responsible for determining the class of license necessary to legally operate the Vehicle. Piaggio reserves the right to withhold delivery of the Vehicle if Sweepstakes Winner does not comply with the above requirements.
Each Sweepstakes Winner is solely responsible for complying with any applicable federal, state and/or local laws and regulations applicable to the Vehicle, including without limitation registration requirements and operating restrictions. The Internal Revenue Service requires a Form 1099 MISC to be issued and filed for any prize winner if the annual aggregate value of the prizes received is $600 or more. Administrator will issue a Form 1099 MISC to each Sweepstakes Winner for the ARV of the Vehicle. Federal, State and local taxes are responsibility of each Sweepstakes Winner.
If selected, each Sweepstakes Winner must take delivery of Vehicle by June 30, 2012, or prize may be forfeited, at Sponsor's sole discretion, and the Vehicle may be awarded to an alternate Sweepstakes Winner in accordance with the Official Rules of this Promotion. Sponsor and Administrator are not responsible for delays in delivery. All other expenses and items not specifically mentioned in these Official Rules are not included and are the Sweepstakes Winner's sole responsibility. Sweepstakes Prizes may not be exchanged. No transfer, substitution or cash equivalent of any Sweepstakes Prize permitted. Prizes are subject to availability and substitution with a prize of equal or greater retail value if a Sweepstakes Prize is unavailable or cannot be awarded for any reason, at the sole discretion of Sponsor. The value of the Sweepstakes Prize set forth above represents Sponsor's good faith determination of the ARV thereof and cannot be challenged or appealed. In the event that the ARV of a prize is more than the actual retail value of the prize, the difference will not be awarded in cash or otherwise.
Sponsor and Piaggio have made no warranty or guarantee, in whole or in part, express or implied, in fact or in law, in relation to the use of any prize including, but not limited to, its quality, merchantability, fitness for a particular purpose or suitability for use and, further, accepts no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.

Winners are responsible for all taxes and fees associated with prize receipt and/or use, including any fees associated with accepting a Vehicle. 9. Publicity: Except where prohibited, participation in the Promotion constitutes entrant's consent for Sponsor and its designees to use entrant's name, prize information, likeness, city and state of residence for promotional purposes in any media without further consideration.
10. General Conditions: In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but, not limited to, fraud, technical failures, regularly scheduled maintenance, virus or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment, then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Promotion and award the prizes in a random drawing from among all eligible entries received up to the time of impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
11. Release and Limitations of Liability: Except where prohibited, by participating in the Promotion, entrants agree to release and hold harmless The Coca-Cola Company, Coca-Cola bottlers, ePrize, LLC, Piaggio Group Americas, Inc.,authorized Vespa retail dealers, their respective parents, subsidiaries, affiliates, promotional partners, prize partners, agents and agencies, and the officers, directors and employees of each of them (the "Released Parties") from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to cellular networks, computers, servers, providers, printers or telephone or network lines; (c) printing errors; (d) errors in the administration of the Promotion or the processing of registrations and game plays; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney's fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Sweepstakes entry or Instant Win Game play, if it is possible. If the Promotion, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any prize offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth herein to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.
12. Disputes: Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any Promotion, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
