Prize: (1 winner) Trip for two to Las Vegas, NV from December 21, 2012 to December 23, 2012. Trip consists of coach-class air travel for two from major airport nearest Grand Prize winner's residence to Las Vegas, NV; 3-days/2-nights standard hotel accommodations (one room, double occupancy); roundtrip ground transportation between airport/hotel; and $15,000 in cash awarded in the form of a check to the winner. (ARV $18,700). If Grand Prize winner or travel guest resides less than 100 miles from destination, air travel will not be awarded. Actual value of trip prize will depend on airfare fluctuations and point of departure. Any difference between stated value and actual value will not be awarded. In the event the Grand Prize winner and guest are not able to travel on December 21, 2012 to December 23, 2012, the trip to Las Vegas portion of the prize will be forfeited. Grand Prize winner (his/her parent/legal guardian in the event that potential Grand Prize winner is a resident of a jurisdiction that deems him/her to be a minor) will be required to sign a Winner's Agreement and Release and will have to supply their Social Security number for tax purposes. Additionally, winner's travel companion must be 18 years of age or older and will be required to sign a release. The documents will need to be notarized and returned within five (5) days of attempted notification or the prize will be forfeited in its entirety. Travel companion selection must be finalized at time release is signed and once chosen may not be changed. Grand Prize winner and companion must travel together on the same travel itinerary and on dates agreed upon. Flight details are subject to space availability, and airline carrier's regulations and conditions apply. Third-party groups used during trip - travel agents, guides, car companies, hotels, or others - may also have their own terms of use, which shall apply. Trip arrangements will be made at Sponsor's sole discretion. No cash substitution for prize will be permitted and prize is non-refundable and non-transferable, except at sole discretion of Sponsor. Sponsor reserves the right to substitute prize of equal or greater value. Expenses not specifically stated are the sole responsibility of the Grand Prize winner and guest. Grand Prize winner acknowledges that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Sponsor will not replace any lost or stolen tickets, vouchers, certificates, prizes, or prize components once they are in the Grand Prize winner's possession. The trip may not be combined with any other offer, and travel may not qualify for frequent flyer miles. Any picture identification requirements associated with travel are the Grand Prize winner's and companion's responsibility

• As a condition of participation in the contest, Participant and all Third Party Participants agree that in the event their likeness, including performance, voice and image in any form, as incorporated in the Submission, in whole or in part, are used in any advertising such that the use is subject to the SAG Commercials Contract, each agrees to sign such standard contract and accept the minimum amount of compensation due pursuant to the SAG Commercial Contract.

JUDGING/CONSUMER VOTING/WINNER DETERMINATION: Phase 1: All eligible entries will be judged by a panel of judges based on the following four criteria: Creativity (25%); Originality (25%); Humor (25%); and Butterfinger® Pitching Quality (25%). The panel of judges will judge the Entries, giving 1-10 points for each of the four criteria, for a maximum total score of 40 points for each Entry. The five (5) submissions that receive the highest overall scores will be deemed the potential finalists (each a "Finalist"). In the event of a tie, the Entry with the highest score in the Humor criteria from among all tied Entries will be deemed a Finalist.

Judges have the right, in their sole discretion to select less than the total number of finalists stated in these Official Rules, or no finalists at all, in the event that there are an insufficient number of Entries received, or if there are an insufficient number of Entries receiving a total minimum score of 20 points or higher.

Phase 2: Beginning at 12:00:00 am ET on August 17, 2012 through 11:59:59 pm ET on August 27, 2012 (the Voting Period") the top five (5) Finalists entries will be posted at facebook.com/butterfinger. Individuals who are residents of the 50 U.S. and D.C., 18 years and older, can visit facebook.com/butterfinger, "Like" the page (if you already haven't), allow the "Butterfinger Last Spokesperson" application when prompted to "Get App", and follow the on-screen instructions to vote for their favorite entry based on creativity, originality and humor in pitching Butterfinger. Limit one vote per Facebook user ID/person per day. The Finalist entry with the most votes at the conclusion of Phase 2 will be named the potential Grand Prize, pending verification and compliance with these Official Rules. In the event of a tie, the Finalist entry that received the highest score for Humor criteria during Phase 1 judging will be deemed the Grand Prize winner, subject to verification of eligibility and compliance with these Official Rules.
