SWEEPSTAKES DESCRIPTION: The Cadillac Performance Drive ("Sweepstakes") is offered only in the 50 United States and District of Columbia ("U.S.") and begins at 12:00 AM Eastern Time ("ET") on 8/15/12 and ends at 11:59 PM ET on 10/2/12 ("Sweepstakes Period").

ELIGIBILITY: The Sweepstakes is open only to legal residents of the fifty (50) United States and District of Columbia (U.S.) who are at least twenty-one (21) years of age or the age of majority in his/her state of residence, whichever is older as of date of entry, with a valid driver's license ("Entrant"). Employees, directors and officers and their immediate families (spouses and siblings, parents and children and their spouses) and household members of General Motors LLC, Jack Morton Worldwide, Exposure Marketing & Promotions, Inc. and their respective parent companies, subsidiaries and affiliates, distributors, and companies involved in the implementation and execution of the Sweepstakes (collectively the "Sweepstakes Entities") are not eligible. Void in Puerto Rico and where prohibited.

AGREEMENT TO THE OFFICIAL RULES: By participating in the Promotion, each Entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding in all matters related to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein.

HOW TO ENTER: Visit www.cadillacperformancedrive.com (the "Website") during the Sweepstakes Period, and follow the online instructions to complete and submit the online entry form with the required contact information ("Online Entry"). ALL ONLINE ENTRIES MUST BE RECEIVED BY 11:59 PM ET on 10/2/12. LIMIT: ONE (1) ONLINE ENTRY PER PERSON OR EMAIL ADDRESS PER DAY. You may also receive one (1) entry into the Sweepstakes by mailing in a 3" x 5" paper, on which you have hand printed your name, complete address, email address and the words "Cadillac Performance Drive" to Cadillac Performance Drive, P.O. Box 210700, Auburn Hills, MI 48326 ("Mail Entry"). Each Mail Entry must be mailed separately. ALL MAIL ENTRIES MUST BE POSTMARKED BY 10/2/12 AND RECEIVED BY 10/6/12. LIMIT: FIFTY-TWO (52) MAIL ENTRIES PER PERSON. LIMIT: FIFTY-TWO (52) TOTAL ENTRIES PER PERSON OR EMAIL ADDRESS REGARDLESS OF METHOD OF ENTRY. In the event more than the above stated limit of Entries is received from any one person or email address, the first Entry processed for that day will be considered the only valid Entry received for that day. In the event of a dispute, online Entries will be deemed made by the authorized account holder of the email address submitted at the time of Entry. The authorized account holder is the natural person who is assigned to the email address by an internet access provider, online service provider, or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Potential winner may be required to show proof of being the authorized account holder. No mechanical reproductions of entry forms permitted. Any attempt by any entrant to obtain more than the stated number of Entries by using multiple/different identities, registrations or any other methods will void that entrant's Entries and that entrant may be disqualified. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries or mail that is damaged or postage due. Sponsor will not accept entries from wireless domains, blacklist domains, or any email address Sponsor deems in its sole discretion to be potentially harmful to the Website. Use of any automated system to participate is prohibited and will result in disqualification.

WINNER SELECTION AND VERIFICATION: One (1) potential Grand Prize Winner will be selected in a random drawing conducted on or about 10/8/12 from among all eligible Entries received. Administrator will attempt to contact potential winner by phone and/or email. If the potential winner responds within seventy-two (72) hours, Administrator will orally request information from the potential winner to preliminarily confirm eligibility. If the potential winner is deemed potentially eligible based on the preliminary questions, Administrator will send an Affidavit of Eligibility and Liability and, unless prohibited by law, a Publicity Release form ("Affidavit/Release") to the potential winner by email or facsimile to be executed and returned by email or facsimile within three (3) days from the delivery of Administrator's email or facsimile. If the potential winner cannot be contacted within the specified time after the first attempt to contact him/her, if he/she fails to execute and return the Affidavit/Release within three (3) days, or if he/she is otherwise ineligible to receive the prize, that potential winner will be deemed ineligible. An alternate will be selected in his/her place (time permitting, with regard to the Cadillac V-Series Performance Academy trip) and Administrator will attempt to contact and obtain the required Affidavit/Release from that potential winner. Potential winner(s) and guest(s) may be subject to a background investigation at sponsor's discretion. Sponsor reserves the right in its sole discretion to disqualify potential winner and guest based on the basis of its review of the results of the background check or any other personal background information; that is, the background investigation reveals any act on the part of the winner or guest that might bring the Sponsor or its Cadillac brand into disrepute or otherwise jeopardize its goodwill. The odds of winning depend on the number of eligible Entries received. Prize drawing and winner verification will be conducted by Administrator, an independent judging organization.

ONE (1) GRAND PRIZE: The Grand Prize will consist of the following two (2) elements -


a. Trip for two (2) to the Cadillac V-Series Performance Academy in Palm Beach, FL (10/19/12 - 10/22/12) for an on-track driving experience. Trip consists of coach air travel for two (2) from the major commercial airport nearest winner's residence, local ground transportation in FL, hotel accommodations for up to three (3) nights (room and tax based on double occupancy), participation for winner in the V-Series Performance Academy and $1,000 (awarded as AMEX* gift cards). Approximate Retail Value ("ARV") of the trip is $4,500; and

b. Trip for two (2) to the winner's choice of any one (1) U.S. 2013 World Challenge Race Event. Trip consists of coach air travel for two (2) from the major commercial airport nearest winner's residence, local ground transportation in U.S. city hosting Race Event, hotel accommodations for up to three (3) nights (room and tax based on double occupancy), two (2) tickets to each race event day, the opportunity to meet Cadillac drivers Johnny O'Connell and Andy Pilgrim and $1,000 (awarded as AMEX* gift cards). ARV of the trip is $4,500.
Total ARV of Grand Prize is $9,000. In the event that the winner resides less than 200 miles from either of the two (2) prize trip locations, Sponsor may (at their own discretion) provide ground transportation between winner's residence and selected hotel in lieu of air travel and winner will not receive any substitute prize or compensation of any kind. Grand Prize must be accepted in its entirety (both trips) or not at all.

GENERAL PRIZE RESTRICTIONS: All expenses and costs related to acceptance and use of prize not expressly listed above are entirely the winner's responsibility. Gift cards subject to terms and conditions of Issuer. In the event that the 2012 V-Series Performance Academy and/or the winner-selected 2013 World Challenge race event (or any individual dates affecting the Grand Prize) is cancelled, postponed or delayed due to scheduling, other conflicts, illness or any other reason beyond his/her or Sponsor's control, or the winner is unwilling or unable to attend or travel to the events on the Sponsor-approved dates, that portion of the Grand Prize will not be awarded and the remaining portion of the Grand Prize will constitute the full prize. No refund or compensation will be made in the event of the cancellation or delay of any flight. Participation in the 2012 V-Series Performance Academy requires the winner to sign additional waivers/releases, wherein winner agrees to assume the risk of injury, dismemberment or even death in conjunction therewith. Winner is solely responsible for establishing that he/she is in sound physical and psychological condition (from a physician or medical professional, if so desired) so as to participate in the 2012 V-Series Performance Academy and to secure any desired insurance in conjunction therewith. If winner does not meet the specifications for participation in the 2012 V-Series Performance Academy, Sponsor's liability with regard to this prize element will be limited to award of a 4 day/3 night trip for winner and guest to Palm Beach, FL. The opportunity to meet Johnny O'Connell and Andy Pilgrim is subject to their availability and professional commitments. Should winner not have the opportunity to meet either Mr. O'Connell or Mr. Pilgrim, Sponsor's liability shall be limited to the awarding of the remaining elements of the Grand Prize. Winner and guest must conduct themselves at all times in a respectful and appropriate manner in conjunction with meeting Mr. O'Connell and Mr. Pilgrim; violation of this requirement may result in immediate termination of trip or other sanctions. Guest(s) of winner must be at least twenty-one (21) years of age and will be required to sign a liability release and where permitted by law, publicity release ("Release"); winner need not have the same person serve as guest for both trips comprising the Grand Prize. V-Series Performance Academy or race tickets (or any portion of the prize) may not be transferred or assigned. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute the prize in whole or in part with another prize of comparable or greater value if the intended prize is not available for any reason as determined by the Sponsor in its sole discretion. Winner will be solely responsible for all taxes (not limited to federal, state, local and/or income) on prize and will be required to provide, to Administrator, his/her Social Security number for tax reporting purposes. Administrator will file an IRS Form 1099 with the Internal Revenue Service for the fair market value of prize. In the event that the potential prize winner is disqualified for any reason, the prize will be forfeited at the Sponsor's sole discretion.
