Promotion consists of a random drawing Sweepstakes & an Offer, described below. Sweepstakes begins at 11:59:59PM Eastern Time ("ET") on 1/31/12 & ends at 11:59:59PM ET on 12/31/12. Offer begins at 11:59:59PM ET on 1/31/12 & ends at 11:59:59PM ET on 12/15/12.

Only open to legal residents of 50 United States or District of Columbia, 18 years of age or older prior to 1/31/12. Entrants do not need to be a MasterCard cardholder to enter or win this Sweepstakes.

Limit (1) Sweepstakes entry per person per day, regardless of the number of email addresses or Facebook accounts used, for the duration of the Promotion Period. Each person may only use (1) email address to participate in this Promotion, & such email address may only be used by (1) person to participate, regardless of whether the email address is shared by (2) or more people.

Offer: Following your submission of your fully completed Registration Form, receive (1) Offer Gift. Offer Gift will be posted on your Registration Form submission Confirmation Page & will also be emailed to the email address provided at time of Registration. Limit (1) Registration & (1) Offer Gift per person for the duration of the Offer Period.

(1) Grand Prize: A 4-day/3-night trip for winner & (1) guest to Los Angeles, CA to attend the 55th Annual GRAMMY® Awards in February 2013. Trip includes:
• round-trip coach air transportation from the major U.S. airport nearest winner's residence,
• (1) standard double-occupancy hotel accommodation,
• ground transportation to/from the airport & the applicable hotel in Los Angeles & to/from the hotel & the 55th Annual GRAMMY Awards,

• (2) tickets to the 55th Annual GRAMMY Awards & the Official GRAMMY Celebration® After-Party,
• select onsite activities to be determined by Sponsor,
• a $300 MasterCard Promotional Card,
• $3,000 awarded as a check that may be used to offset taxes.

(Approximate Retail Value "ARV"=$14,000). Grand Prize trip must be taken on date(s) specified by Sponsor or prize will be forfeited & an alternate winner may be selected. Travel & hotel accommodation restrictions apply. Winner & guest must travel on the same itinerary & must be 18 years of age or older to attend the 55th Annual GRAMMY Awards Show. In order to attend the pre-party & the Official GRAMMY Celebration after-party, winner & guest must be 21 years of age or older. The 55th Annual GRAMMY Awards Show is tentatively scheduled to be in Los Angeles in February 2013, however the date, time, & location is yet to be confirmed, as determined in the sole discretion of The Recording Academy. Actual value of prize will vary depending on winner's city of departure & final flight itinerary. Sponsor, in its sole discretion, reserves the right to provide ground transportation in lieu of air transportation. If event (or any portion thereof) is canceled or postponed for any reason, balance of prize will be awarded in full satisfaction of prize award. Offer Gifts: Code redeemable for (1) song download from a Universal Music Group Artist or Band per the list of song titles designated by Sponsor (Approximate Retail Value "ARV"=$1). Code must be redeemed online according to the instructions provided at time of Code issuance. All song download codes expire 12/31/12. Gift quantities are limited. The first (45,000) qualifying individuals who register per instructions provided will receive (1) Gift. Maximum ARV of all Gifts=$45,000.

Grand Prize Winner will be selected in a random drawing on or about 1/7/13 from among all eligible entries received by P/S/T, an independent judging organization whose decisions will be final & binding in all matters relating to this Promotion. Winner will be notified by P/S/T by telephone and/or mail. The first randomly selected potential Grand Prize winner that answers the telephone call placed by P/S/T notifying him/her of his/her potential winning status will be declared the Grand Prize winner, subject to verification of eligibility & the terms of these Official Rules. Messages will not be left on answering machines or with live persons. Odds of winning will depend on the number of eligible entries received.
